Content of the Report:

The Management Board of XTPL S.A. [the _quot;Issuer,_quot; the _quot;Company,_quot; _quot;XTPL_quot;]announces that on July 1, 2024, it confirmed the acceptance of an orderfor the delivery of a UPD printing module. The direct ordering party isa company based in Hong Kong [the _quot;Partner_quot;], which will supply theprinting module to a client in mainland China [the _quot;End Client_quot;].

The Partner is an entity engaged in the development and distribution ofadvanced devices for prototyping processes using additive techniques,product testing in 3D technology, and the production of high-efficiencyparts for the aerospace, energy, and other industries. Based on the UPDprinting module provided by XTPL S.A., the End Client will construct adevice for prototyping and conducting R_amp;D processes for applications inmodern microelectronics and printed electronics. These devices areintended for clients in China.

The revenues obtained from the execution of the current device orderwill have a positive impact on the financial results of XTPL S.A.achieved in 2024.

The Issuer's Management Board deemed the sale of the UPD printing moduleto a significant market as confidential information, as its executionmay significantly impact the Issuer's future revenue situation, thepopularization of the Company's technological solutions, and theperspective of the Issuer by investors.

For the above-mentioned reasons, the information provided in thiscurrent report, in the opinion of the Issuer's Management Board, meetsthe criteria of confidential information within the meaning of Article7(1) of MAR.
