Report Content Obtaining consent from the Bulgarian Competition Commission for theacquisition of the Flais fitness club chain in Bulgaria (Concentration)

In relation to current report no. 37/2024 dated 20 June 2024, theManagement Board of Benefit Systems S.A. with its registered seat inWarsaw (the _quot;Issuer_quot;) hereby informs that on 12 August 2024, theIssuer's subsidiary - Next Level Fitness OOD with its registered officein Sofia, Bulgaria (the _quot;Subsidiary_quot;) received a decision of theBulgarian Competition Commission dated 8 August 2024, approving theconcentration consisting in the acquisition of:

1) 100% of shares in the share capital of the following companies:Fitness Flais Corporation OOD, Power Ronic OOD, Happy Group 1 OOD,Fitness Flais Group OOD, Fitness Flais Pro OOD, Flais Fit OOD and FitEnergy OOD operating a total of 11 fitness clubs operating under thename _quot;Flais_quot; and having 2 fitness clubs under construction, all locatedin Sofia,

2) certain assets belonging to 6 fitness clubs (including 2 fitnessclubs under construction) located in Sofia and the conclusion of newlease agreements concerning these fitness clubs,

3) the right to the word-and-graphic trademark Flais,

(the _quot;Transaction_quot;).

Obtaining consent to the concentration was a condition for theTransaction to be carried out by the Subsidiary.
