Report Content Change in the composition of the Supervisory Board of PCF Group S.A.TheManagement Board of PCF Group S.A. with its registered office in Warsaw(the "Company") hereby informs that on 6 September 2024 pursuant to § 21item 1 of the Company' Articles of Association the Supervisory Boardappointed Ms. Lidia Banach-Hoheker, by way of co-optation, as a memberof the Supervisory Board of the Company with effect as of 6 September2024 until the end of the current, joint three-year term of theSupervisory Board, subject to approval of the appointment of Ms. LidiaBanach-Hoheker by the Company's General Meeting.

Information on the education, qualifications and professional experienceof the newly appointed Supervisory Board member is provided below.

According to a representation made by Ms. Lidia Banach-Hoheker, she doesnot engage in any activity competitive to the Company's business, she isnot a partner or shareholder in any partnership or company competitiveto the Company, and is not a member of corporate bodies of any companyor other legal person competitive to the Company. Ms. LidiaBanach-Hoheker has not been registered in the Register of InsolventDebtors.

Additionally on 6 September 2024 the Company's Supervisory Boardappointed Ms. Lidia Banach-Hoheker as a member of the Audit Committee ofthe Supervisory Board. The resolution came into force upon its adoption.According to a representation made by Ms. Lidia Banach-Hoheker, shemeets the independence criteria set forth in Art. 129 Section 3 of theAct of 11 May 2017 on Statutory Auditors, Audit Firms and PublicOversight and has knowledge and qualifications relating to theaccounting or the auditing of financial statements within the meaning ofthe said Act.

Resume of Ms. Lidia Banach-Hoheker

Ms. Lidia Banach-Hoheker is a graduate of the Faculty of Management atthe University of Warsaw, majoring in Financial Management. She is aholder of ACCA qualifications (Association of Chartered CertifiedAccountants).

She has many years of experience in managing finance and operationsdepartments in Polish and international organizations. For years, shehas been creating and organizing support departments in such a way thatthey focus on providing high quality services and provide real supportto the business. She has experience in mergers and acquisitions,investment appraisal, business modeling, restructuring, strategicplanning and process improvement in manufacturing, retail and servicecompanies.

As part of her own business activities, since 2021 she serves as afinancial and strategic advisor to companies, including currentlyholding positions in the management bodies of CPP Tower sp. z o.o.,Senja sp. z o.o., and 5th Corner sp. z o.o.

As of May 2021 she serves on the Supervisory Board and Audit Committeeof UNIMOT S.A., and additionally she served on the Supervisory Board andAudit Committee of Elemental Holding S.A. from December 2022 to June2024.

Before that, for many years (between 2005-2008 and 2013-2021), she wasassociated with the capital group of Wydawnictwo Naukowe PWN S.A.,including as a Member of the Management Board, Chief Financial Officerand Director of Financial Control.

From 2008 to 2013, she served as Member of the Management Board andChief Financial Officer at Merlin.pl S.A.. Previously, she wasassociated with the Wincanton Group in the logistics and warehousingindustry, including in the position of Chief Financial andAdministrative Officer.
