Content of the Report:

The Management Board of XTPL S.A., with its registered office in Wrocław(the "Issuer" or the "Company"), announces that today (October 1, 2024)the Issuer obtained information that on September 30, 2024 the registrycourt registered amendments to the Articles of Association of XTPL S.A.in connection with the Resolutions of the Annual General Meeting of theCompany dated June 28, 2024, numbered 18/06/2024 and numbered 20/06/2024(the "Resolutions").

1. Amendments to the Articles of Association

Pursuant to the Resolutions, the Company's Articles of Association wereamended as follows:

1) The introduction to the Articles of Association was repealed,

2) The Articles of Association were amended: § 2, § 4, § 5, § 5A, § 5B,§ 5C, § 6, § 8, § 12, § 14, § 15, § 16, § 17, § 18, § 19, § 20, § 21 and§ 24 of the Company's Articles of Incorporation,

3) Repealed: § 9, § 10, § 13, § 25 and § 26 of the Company's Articles ofAssociation.

The contents of the existing and new provisions of the Articles ofAssociation are included in Appendix 1 to the report.

2. Consolidated text of the Articles of Association

By Resolution No. 21/06/2024, the aforementioned Annual General Meetingof the Company adopted the consolidated text of the Company's Articlesof Association, which is attached as Appendix 2 to the report.
