Subject: Appointment of the President of Energa SA's Management Board

The Management Board of Energa SA ("Company") informs that on 4 November2024 the Supervisory Board of the Company appointed Mr. SławomirStaszak, the Vice-President of the Management Board of the Company, tohold as of the same day the position of the President of Energa SA'sManagement Board of the 7th term of office.

Mr. Sławomir Staszak has been a member of the Management Board of EnergaSA since April 2024. He has over 15 years of experience in the energysector. He is the Chairman of the Supervisory Board of Energa OperatorSA and the Vice-Chairman of the Supervisory Board of Energa Obrót SA, aswell as the Vice-President of the Management Board of the PolishElectricity Association. In addition, he has many years of experience inmanaging, developing and implementing complex ownership supervisionsystems in commercial companies and holding groups, as well as inbroadly defined corporate and holding company law and capital marketlaw. Since 2014, he has been the managing partner of law firm K_amp;SKancelaria Radców Prawnych Kardasz Staszak sp.k. In his career, he hasparticipated in the implementation of numerous business projects forvarious entities, including co-founding internationally operatingholding groups, among others for entities in the energy and portindustries. He has managed international teams and participated inbuilding strategies for multi-million dollar business projects. He hasalso provided business consulting services to domestic and foreigncommercial law entities, among others those in the European Union, theUnited States and Asia, including managing the implementation of salesstrategies for foreign markets, particularly in Asia. In addition to hisextensive legal practice, his past professional experience has allowedhim to hone his supervisory and management skills, including thoserelated to managing complex teams. Mr. Sławomir Staszak has served onthe management and supervisory boards of many companies and foundations,including Zarząd Morskiego Portu Gdynia S.A. He is a law graduate of theUniversity of Gdańsk, and has been practicing as a legal counsel since2014.

Mr Sławomir Staszak is not engaged in any activities competitive to thebusiness of Energa SA, does not participate in a company competitive toEnerga SA as a partner of a civil law partnership, a partnership or as amember of a capital company body and does not participate in any othercompetitive legal person as a member of its corporate bodies as well ashe is not listed in the Register of Insolvent Debtors maintained underthe National Register Court Act.
