Registration of Subsidiary Company by Court

The Management Board of Prime ASI S.A., based in Rzeszów (hereinafter:the _quot;Company_quot;), hereby informs that on November 20, 2024, the DistrictCourt in Rzeszów, 12th Commercial Division of the National CourtRegister (KRS), registered the company Algo Trade AI sp. z o.o., basedin Rzeszów (hereinafter: _quot;AT_quot;), in which the Company holds the status offounder and majority shareholder, thereby making AT a subsidiary of theCompany.

The share capital of AT amounts to PLN 1,000,000.00 and is divided into20,000 shares, of which the Company holds 18,000 shares, representing90% of AT's share capital. The Company's contribution to cover AT'sshare capital in the amount of PLN 900,000.00 will be transferred toAT's bank account as soon as it is operational.

AT will specialize in developing advanced automated algorithms based onartificial intelligence. AT's solutions will analyze and executetransactions on various financial markets, using cutting-edge AItechnologies to optimize trading strategies, ensuring maximumefficiency, precision, and profitability.

AT intends to commence operations in the fourth quarter of 2024.
