The Management Board of XTPL S.A. (the "Issuer") in reference to ESPICurrent Report No. 56/2024 of November 18, 2024 and ESPI Current ReportNo. 58/2024 of November 26, 2024, announces that on December 6, 2024,the subscription of X series shares was completed as a result of theconclusion of agreements for the subscription and payment by investorsof a total of 300,000 X series shares (i.e. all X series shares offeredby the Issuer), and the total amount of payments for X series sharesamounted to PLN 27,600,000 (twenty-seven million six hundred thousandzlotys).

The Current Report has been prepared solely for the purpose offulfilling the obligations under Article 17(1) of the Regulation (EU)No. 596/2014 of the European Parliament and of the Council of 16 April2014 on market abuse (market abuse regulation) and repealing Directive2003/6/EC of the European Parliament and of the Council and CommissionDirectives 2003/124/EC, 2003/125/EC and 2004/72/EC ("MAR"), as theCompany considered the information on the payment of all Series X Sharesas meeting the criteria of inside information within the meaning ofArticle 7 of MAR.
