Report Content Information on the establishment of a bond program and the contemplatedbond issue

The Management Board of Benefit Systems S.A. (the "Issuer", "Company")hereby informs about establishing of a bond issuance programme (the"Programme"), under which the Issuer will be allowed to undertakemultiple bond issues up to maximum joint nominal amount issued under theProgramme and not redeemed up to PLN 1,000,000,000 (one billion zloty)in a period. The establishment of the Programme was approved by theSupervisory Board of the Issuer.

The Programme was established on the basis of a programme agreementsigned by the Issuer, Bank Polska Kasa Opieki S.A. and Santander BankPolska S.A. on 23 January 2025 (the "Programme Agreement"). According tothe Programme Agreement, bonds can be issued under the Programme for anindefinite period.

At the same time, the Issuer informs that it is considering startingwork on the first bond offering under the Program addressed to qualifiedinvestors in the first half of 2025. The Company's final decision on theissue and its detailed terms and conditions will be made at the stage ofadoption of relevant resolutions by the Company's Management Board . TheIssuer will inform about the adoption of possible resolutions in thisregard in a separate current report.
