Pursuant to Art. 17clause 1 of the Regulations (eu) no 596/2014 of the European Parliamentand of the Council of 16 April 2014 on market abuse (market abuseregulation) and repealing Directive 2003/6/EC of the European Parliamentand of the Council and Commission Directives 2003/124/EC, 2003/125/ECand 2004/72/EC, the Management Board of Orange Polska S.A. ("OrangePolska", "Company") announces recommendation regarding 2024 profitdistribution.

Orange Polska toincrease its dividend by 10% with management recommending to pay PLN0.53 per share in 2025

On 12 February 2025 theManagement Board of Orange Polska has adopted a resolution to recommendto the Annual General Meeting of Shareholders payment of a cash dividendof PLN 0.53 per share in 2025 from 2024 profits, in line with .Growdividend policy, taking into account Company's financial results andprojections. This proposal constitutes a 10% increase versus PLN 0.48per share dividend paid in 2024 and is the third consecutive increase ofthe dividend after it was reinstated in 2022. The dividend has more thandoubled over this period.

The Management willmake the following proposal to the Orange Polska Annual General Meetingof Shareholders with regard to dividend dates:

-_#160;_#160;_#160;_#160;_#160;_#160;For the"W" day (when the dividend is paid) - 9 July 2025

The ultimate decisionconcerning profit distribution will be made by Annual General Meeting ofOrange Polska.
