Re: Management Board's recommendation redistribution of profit for 2024 and decision on Dividend Reserve createdpursuant to resolution no. 6 of the Annual General Meeting of 22 March2021.

In connection with current reports no.12/2025 of 13 March 2025 and no. 13/2025 of 17 March 2025, theManagement Board of Santander Bank Polska S.A. (Bank) hereby informs youthat on 19 March 2025 it issued a recommendation on the distribution ofprofit for 2024 and the Dividend Reserve created pursuant to resolutionno. 6 of the Annual General Meeting of 22 March 2021 (resolution no. 6).The recommendation was positively reviewed by the Bank's SupervisoryBoard.

In line with the decision taken, the Bank'sManagement Board recommends that profit of PLN 5,197,479,813.35 earnedin 2024 be distributed as follows:

- PLN 3,897,631,915.40 - to be allocated tothe dividend for shareholders;

- PLN 104,130,000.00 - to be allocated tothe capital reserve;

- PLN 1,195,717,897.95 - is to be keptundistributed.

Moreover, the Management Board recommendsthat PLN 840,886,574.78 out of the Dividend Reserve created pursuant toresolution no. 6 be allocated to the dividend for shareholders.

The Management Board recommends that102,189,314 (say: one hundred two million, one hundred eighty-ninethousand and three hundred fourteen) series A, B, C, D, E, F, G, H, I,J, K, L, M, N and O shares give entitlement to the dividend to be paidout from the profit earned in 2024 and from the Dividend Reserve(Dividend). The dividend will total PLN 4,738,518,490.18 (of which PLN3,897,631,915.40 represents 74.99% of the net profit earned in 2024 andPLN 840,886,574.78 represents the amount allocated from the DividendReserve).

The Dividend per share will be PLN 46.37.

The Dividend record date will be 13 May2025.

The Dividend will be paid out on 20 May2025.

The Bank's Management Board and SupervisoryBoard will present this proposal along with the recommendation at thenext Bank's Annual General Meeting.

When taking its decision, the ManagementBoard took into account the current macroeconomic environment as well asthe recommendations and current guidance of the Polish FinancialSupervision Authority (KNF), including that outlined in the KNF's letterof 13 March 2025, of which the Bank informed the market in its currentreport no. 12/2025 of 13 March 2025 as well as that outlined in theletter of 17 March 2025 confirming the possibility to pay a dividendfrom the Dividend Reserve of which the Bank informed the market in itscurrent report no. 13/2025 of 17 March 2025.
