Sale of the Delta Printing System to a defence contractor in the USA.

Content of the Report:

The Management Board of XTPL S.A. [the "Issuer," the "Company," "XTPL"]hereby informs that on March 27, 2025, the Company confirmed an orderplaced by an industrial client based in the USA [the "Client"] for thedelivery of a Delta Printing System ["DPS"]. The Client is a defencecontractor operating in the defence sector. The DPS device will be usedfor research and development as well as prototyping.

The transaction was concluded as a result of the activities of theCompany's subsidiary, XTPL Inc., based in Boston, USA ["XTPL Inc."],which will also handle the transaction operationally. The opening ofXTPL Inc.'s office in the form of a demonstration and sales center inBoston was part of the Company's strategy adopted in November 2023(Current Report No. 54/2023 dated November 22, 2023). To date, theCompany has sold a total of 8 DPS devices in the North American market.

The revenue generated from the execution of the ordered DPS device willhave a positive impact on XTPL S.A.'s financial results in 2025.

The Issuer's Management Board has deemed the first sale of a DPS deviceto a new and potentially significant defence sector market as insideinformation, as its execution may have a material impact on the Issuer'sfuture revenue situation, the popularization of the Company'stechnological solutions, and the perception of the Issuer by investors.

For the reasons described above, the information disclosed in thiscurrent report, in the opinion of the Issuer's Management Board, meetsthe criteria of inside information within the meaning of Article 7(1) ofMAR.
