Re. Annual General Meeting of Santander BankPolska S.A. - resolution re. dividend payment

Santander Bank Polska S.A. (the "Bank")hereby advises that the Annual General Meeting of the Bank, held on 15April 2025, adopted a resolution on dividend payment.

It was decided to allocate to dividend forshareholders the amount of PLN 3,897,631,915.40 from the Bank's netprofit for 2024 and PLN 840,886,574.78 out of the Dividend Reservecreated by force of resolution no. 6 of the Annual General Meeting of 22March 2021 on profit distribution and creation of capital reserve (the"Dividend"). Total amount to be allocated for Dividend is PLN4,738,518,490.18.

102,189,314 (say: one hundred two million,one hundred eighty nine thousand and three hundred fourteen) series A,B, C, D, E, F, G, H, I, J, K, L, M, N and O shares give entitlement tothe Dividend.

Dividend per one: A, B, C, D, E, F, G, H, I,J, K, L, M, N and O series share will be PLN 46,37.

The Dividend record day is 13 May 2025 andthe Dividend will be paid out on 20 May 2025.

§ 19 (2) of the Ministry of Financeordinance dated March 29, 2018 re. current and financial reporting bysecurities issuers and conditions for treatment as equivalent ofinformation provided under law of non-member states.
