#### **KMC PROPERTIES ASA**

(ORG.NR. 990 727 007)

Den 30. mai 2025 kl. 10.00 ble det avholdt ordinær generalforsamling i KMC Properties ASA ("**Selskapet**"). Generalforsamlingen ble avholdt som et digitalt møte via Lumi AGM.

Generalforsamlingen ble åpnet av Hans Cappelen Arnesen, som opptok fortegnelse over aksjeeiere som var representert på generalforsamlingen, enten ved forhåndsstemme, digitalt oppmøte eller fullmektig.

Fortegnelsen viste at 184 891 266 aksjer og stemmer (av totalt 416,738,276 aksjer og stemmer), tilsvarende ca. 44,37 % av aksjekapitalen i Selskapet var representert på generalforsamlingen.

Fortegnelsen, inkludert antall aksjer og stemmer representert, er inntatt som Vedlegg 1 til denne protokollen.

I samsvar med styrets forslag traff generalforsamlingen følgende vedtak:

### **ANNUAL GENERAL MEETING**

**OF**

## **KMC PROPERTIES ASA**

(REG. NO. 990 727 007)

On 30 May 2025 at 10:00 hours (CEST), the annual general meeting of KMC Properties ASA (the "**Company**") was held as a digital meeting through Lumi AGM.

The general meeting was opened by Hans Cappelen Arnesen, who registered the shareholders present at the general meeting, either by advance vote, in person digitally or by proxy.

The register og attending shareholders showed that 184,891,266 shares and votes (of a total of 416,738,276 shares and votes), equal to approx. 44.37% of the Company's share capital, were represented at the general meeting.

The register of attending shareholders, including of the number of shares and votes represented, is included as Appendix 1 to these minutes.

Til behandling forelå følgende saker: The following matters were on the agenda:

## **1 VALG AV MØTELEDER 1 ELECTION OF A CHAIRPERSON OF THE MEETING**

In accordance with the proposal from the board of directors, the general meeting adopted the following resolution:

*Hans Cappelen Arnesen, advokat og partner i Advokatfirmaet Thommessen AS, velges som møteleder.* 

*Hans Cappelen Arnesen, lawyer and partner in Advokatfirmaet Thommessen AS, is elected to chair the meeting.* 

#### **2 VALG AV ÉN PERSON TIL Å MEDUNDERTEGNE PROTOKOLLEN 2 ELECTION OF A PERSON TO CO-SIGN THE MINUTES**

#### **4 GODKJENNING AV ÅRSREGNSKAPET OG ÅRSRAPPORTEN FOR 2024 4 APPROVAL OF THE ANNUAL ACCOUNTS**

I samsvar med styrets forslag traff generalforsamlingen følgende vedtak:

*Selskapets årsregnskap og årsrapport for regnskapsåret 2024, herunder årsberetningen, godkjennes.* 

## **5 GODKJENNING AV REVISORS HONORAR FOR 2024**

I samsvar med styrets forslag traff generalforsamlingen følgende vedtak:

*Godtgjørelsen til Selskapets eksterne revisor, PricewaterhouseCoopers AS, som fremkommer i note 5 til Selskapets årsregnskap for 2024 og i note 9 til det konsoliderte årsregnskapet for 2024, godkjennes.*

directors, the general meeting adopted the following resolution:

*The Company's annual accounts and annual report for the financial year 2024, including the board of directors' report, are approved.*

## **5 APPROVAL OF THE AUDITOR'S FEE FOR 2024**

In accordance with the proposal from the board of directors, the general meeting adopted the following resolution:

*Remuneration to the Company's independent auditor, PricewaterhouseCoopers AS, as set out in Note 5 to the Company's annual accounts for 2024 and in Note 9 in the consolidated annual accounts for 2024, is approved.*

I tråd med nominasjonskomiteens innstilling, ble følgende valgt som styremedlem for en periode på to år frem til ordinær generalforsamling i 2027:

- Hege Buer (styremedlem)
- Martin Lein Staveli (styremedlem)

## **7 GODKJENNING AV GODTGJØRELSE TIL MEDLEMMENE AV STYRET, REVISJONSUTVALGET OG KOMPENSASJONSUTVALGET**

Møtelederen viste til innstillingen fra nominasjonskomiteen som ble offentliggjort via [www.newsweb.no](http://www.newsweb.no/) den 20. mai 2025.

I samsvar med nominasjonskomiteens innstilling traff generalforsamlingen følgende vedtak:

*Godtgjørelse til medlemmene av styret, revisjonsutvalget og kompensasjonsutvalget settes til NOK 0.*

## **6 STYREVALG 6 ELECTION OF BOARD MEMBERS**

The chairperson of the meeting referred to the nomination committee's recommendation which had been made available vi[a www.newsweb.no](http://www.newsweb.no/) on 20 May 2025.

In accordance with the nomination committee's proposal, the following person was elected as a board member for a period of two years until the annual general meeting in 2027:

• *Martin Lein Staveli (styremedlem)* • *Martin Lein Staveli (board member)*

Following the election, the Company's board of directors comprise the following persons:

- Bjørnar André Ulstein (chair)
- Hege Buer (board member)
- Martin Lein Staveli (board member)

**7 APPROVAL OF REMUNERATION FOR THE MEMBERS OF THE BOARD OF DIRECTORS, THE AUDIT COMMITTEE AND THE REMUNERATION COMMITTEE** 

The chairperson of the meeting referred to the nomination committee's recommendation which had been made available vi[a www.newsweb.no](http://www.newsweb.no/) on 20 May 2025.

In accordance with the nomination committee's recommendation, the general meeting adopted the following resolution:

*The remuneration for the members of the board of directors, the audit committee and the remuneration committee shall be set to NOK 0.*

## **8 GODKJENNING AV GODTGJØRELSE TIL MEDLEMMENE AV NOMINASJONSKOMITEEN**

Møtelederen viste til innstillingen fra nominasjonskomiteen som ble offentliggjort via [www.newsweb.no](http://www.newsweb.no/) den 20. mai 2025.

Valg av medlemmer til nominasjonskomiteen var ikke inntatt som et eget agendapunkt i innkallingen til generalforsamlingen, men i samsvar med nominasjonskomiteens innstilling legges det til grunn at nominasjonskomiteens medlemmer forblir i sine verv frem til ordinær generalforsamling i 2027.

I samsvar med nominasjonskomiteens innstilling traff generalforsamlingen følgende vedtak:

*Godtgjørelse til medlemmene av nominasjonskomiteen settes til NOK 0.*

## **9 RÅDGIVENDE AVSTEMNING OVER RAPPORT OM LØNN OG ANNEN GODTGJØRELSE TIL LEDENDE ANSATTE**

I samsvar med styrets forslag traff generalforsamlingen følgende vedtak:

*Generalforsamlingen slutter seg til rapport om lønn og annen godtgjørelse til ledende personer i Selskapet for 2024*.

## **10 STYRETS REDEGJØRELSE FOR FORETAKSSTYRING**

Møteleder viste til styrets redegjørelse for foretaksstyring, utarbeidet i tråd med regnskapsloven § 2-9, som inngår i Selskapets årsrapport for 2024, og som er tilgjengelig på Selskapets hjemmeside [www.kmcp.no.](http://www.kmcp.no/)

## **8 APPROVAL OF REMUNERATION FOR THE MEMBERS OF THE NOMINATION COMMITTEE**

The chairperson of the meeting referred to the nomination committee's recommendation which had been made available vi[a www.newsweb.no](http://www.newsweb.no/) on 20 May 2025.

Election of members to the nomination committee was not included as a separate agenda item in the notice for the general meeting. However, in accordance with the recommendation from the nomination committee it is assumed that the members of the nomination committee will remain in their positions until the annual general meeting in 2027.

In accordance with the nomination committee's recommendation, the general meeting adopted the following resolution:

*The remuneration for the members of the nomination committee shall be set to NOK 0.*

## **9 ADVISORY VOTE OF REPORT ON SALARY AND OTHER REMUNERATION TO LEADING PERSONNEL**

In accordance with the proposal from the board of directors, the general meeting adopted the following resolution:

*The general meeting endorses the report regarding salary and other remuneration to the Company's leading personnel for 2024.*

## **10 THE BOARD OF DIRECTORS' REPORT ON CORPORATE GOVERNANCE**

The chairperson of the meeting referred to the board of directors' report on corporate governance which has been prepared in accordance with Section 2-9 of the Norwegian Accounting Act which is included in the

Company's annual report of 2024, and may be found at the Company's website [www.kmcp.no.](http://www.kmcp.no/)

Generalforsamlingen tok redegjørelsen til orientering.

## **11 GENERELL STYREFULLMAKT TIL Å FORHØYE AKSJEKAPITALEN**

I samsvar med styrets forslag traff generalforsamlingen følgende vedtak:

- *(i) I henhold til allmennaksjeloven § 10-14 gis styret fullmakt til å forhøye Selskapets aksjekapital, i en eller flere omganger, med inntil NOK 1.666.953,10.*
- *(ii) Aksjeeiernes fortrinnsrett til å tegne og bli tildelt de nye aksjene etter allmennaksjeloven § 10-4 kan fravikes, jf. § 10-5.*
- *(iii) Fullmakten omfatter kapitalforhøyelser mot innskudd i andre eiendeler enn penger etter allmennaksjeloven § 10-2.*
- *(iv) Fullmakten omfatter kapitalforhøyelse i forbindelse med fusjon etter allmennaksjeloven § 13-5.*
- *(vi) Fullmakten gjelder fra registrering i Foretaksregisteret og frem til Selskapets ordinære generalforsamling i 2026, dog ikke lenger enn til 30. juni 2026.*
- *(vii) Fra tidspunktet for registrering i Foretaksregisteret, erstatter denne fullmakten tidligere fullmakt til å forhøye aksjekapitalen med inntil NOK 16.669.531,04, som styret ble*

## **11 GENERAL BOARD AUTHORISATION TO INCREASE THE SHARE CAPITAL**

In accordance with the proposal from the board of directors, the general meeting adopted the following resolution:

*(i) Pursuant to Section 10-14 of the Norwegian Public Limited Liability Companies Act, the board of directors is granted an authorisation to increase the Company's share capital, in one or more rounds, by up to NOK 1,666,953.10.*

*(ii) The shareholders' preferential right to subscribe for and be allocated the new shares pursuant to Section 10-4 of the Norwegian Public Limited Liability Companies Act may be deviated from, cf. Section 10-5.*

- *(iii) The authorisation covers share capital increases by contribution in other forms than cash pursuant to Section 10-2 of the Norwegian Public Limited Liability Companies Act.*
- *(v) The authorisation covers share capital increases in connection with mergers pursuant to Section 13-5 of the Norwegian Public Limited Liability Companies Act.*
- *(vi) The authorisation shall be effective from the date it is registered in the Norwegian Register of Business Enterprises and shall be valid until the Company's annual general meeting in 2026, but no longer than 30 June 2026.*
- *(vii) From the time of registration in the Norwegian Register of Business Enterprises, this authorisation replaces the previous authorisation to increase the share capital by*
