# **INNKALLING TIL EKSTRAORDINÆR GENERALFORSAMLING I AQUILA HOLDINGS ASA 20. JUNI 2025 KL. 10:00**

Styret innkaller med dette til ekstraordinær generalforsamling i Aquila Holdings ASA (org.nr. 917 811 288, "**Selskapet**"), fredag, 20. juni 2025 kl. 10:00 hos Wikborg Rein Advokatfirma AS, Dronning Mauds gate 11, 0250 Oslo, Norge.

Innkallingen til generalforsamlingen er sendt til alle aksjeeiere i Selskapet med kjent adresse. I samsvar med Selskapets vedtekter vil denne innkallingen med alle vedlegg være tilgjengelig på Selskapets hjemmeside, [https://www.aquilaholdings.no/.](https://www.aquilaholdings.no/) På forespørsel til Selskapet på e-post til [info@aquilaholdings.no](mailto:info@aquilaholdings.no) fra en aksjeeier vil Selskapet vederlagsfritt sende aksjeeieren vedleggene per post.

#### **Alle aksjeeiere oppfordres til å gi fullmakt til å stemme for aksjene, eller å forhåndsstemme elektronisk via VPS. Stemme kan ikke avgis over telefon under møtet.**

Vedlagt denne innkallingen som **Vedlegg 2** er påmeldings- og fullmaktsskjema som sendes til styreleder eller en person utpekt av henne, eller en annen person. Fullmaktsskjemaet består av to forskjellige deler: en del hvor styreleder står fritt til å avlegge stemme i den enkelte sak på agendaen og en del hvor aksjeeieren selv krysser av for ønsket stemme i hver sak. Aksjeeiere står fritt til å velge hvilken del som ønskes benyttet og aksjeeiere kan også benytte andre daterte og signerte fullmaktsskjema hvis ønskelig. Fullmakter skal være mottatt av Selskapet eller DNB Bank ASA, alternativt elektronisk via VPS Investortjenester, senest **kl. 16:00 den 18. juni 2025**.

Selskapet vil tilrettelegge for at aksjeeiere kan ringe inn på generalforsamlingen og på den måten overvære møtet, samt få mulighet til å stille spørsmål til Selskapets representanter. Aksjeeiere som ønsker å ringe inn bes om å sende e-post til info@aquilaholdings.no innen kl. 16:00 den 18. juni 2025, for å motta påloggingsdetaljer. Det kan ikke avlegges stemme over telefon.

Aksjeeiere og fullmektiger som ønsker å delta på generalforsamlingen må varsle Selskapet om sin deltakelse ved å benytte påmeldings- og fullmaktsskjema vedlagt som Vedlegg 2. Utfylt påmeldingsskjema må være mottatt av Selskapet, DNB Bank ASA eller alternativt elektronisk via VPS Investortjenester senest 18. juni 2025 kl. 16:00.

Styreleder Nina Skage, eller den hun utpeker, vil åpne generalforsamlingen og foreta en fortegnelse over møtende aksjeeiere.

# **NOTICE OF EXTRAORDINARY GENERAL MEETING IN AQUILA HOLDINGS ASA 20 JUNE 2025 10:00 CEST**

The board of directors (the "**Board**") hereby calls for an extraordinary general meeting in Aquila Holdings ASA (reg. no. 917 811 288, the "**Company**") on Friday, 20 June 2025 at 10:00 CEST at Wikborg Rein Advokatfirma AS, Dronning Mauds gate 11, 0250 Oslo, Norway.

The notice of the general meeting has been sent to all shareholders of the Company with known address. In accordance with the Company's articles of association, this calling notice with all appendices will be available on the Company's website, [https://www.aquilaholdings.no/.](https://www.aquilaholdings.no/) Upon request to the Company by e-mail to info@aquilaholdings.no from a shareholder, the Company will mail the appendices to the shareholder free of charge.

#### **All shareholders are urged to give proxy to vote the shares, or to cast votes electronically in advance via VPS. Votes cannot be cast by phone during the meeting.**

Attached to this calling notice as **Appendix 2** is a registration and proxy form to be sent to the chair of the Board or a person designated by her, or another person. The proxy form consists of two alternative parts: one part where the chair of the meeting is free to cast votes in each matter on the agenda and one part where the shareholder ticks the box for the desired vote in each matter. Shareholders are free to choose which part to use and shareholders may also use other dated and signed proxy forms if they wish. Completed proxy forms must be received by the Company or DNB Bank ASA, alternatively electronically with VPS Investor Services, no later than **16:00 CEST on 18 June 2025**.

The Company will arrange for shareholders to be able to call in to the general meeting and as such participate in the meeting and have the possibility to raise questions to the Company's representatives. Shareholders who wish to dial in to the general meeting are asked to send an e-mail to info@aquilaholdings.no by 16:00 (CEST) on 18 June 2025 to receive dial-in details. Votes cannot be cast by phone.

Shareholders and proxy holders who wish to participate at the general meeting must notify the Company by use of the registration and proxy form attached hereto as Appendix 2. Completed registration forms must be received by the Company, DNB Bank ASA or electronically with VPS Investor Services no later than 18 June 2025 at 16:00 CEST.

The Chairperson Nina Skage, or a person nominated by her, will open the general meeting and register the attending shareholders.

En redegjørelse for sakene og forslag til vedtak er inntatt som **Vedlegg 1** til innkallingen.

Selskapet er et norsk allmennaksjeselskap underlagt norsk lovgivning, derunder allmennaksjeloven ("**asal.**") og verdipapirhandelloven. Selskapet har pr. dagen for denne innkallingen utstedt 234 690 967 aksjer. Hver aksje i Selskapet gir én stemme og har for øvrig like rettigheter, med unntak av Selskapets 18 906 861 egne aksjer som det ikke kan avgis stemme for.

Aksjeeiere har rett til å møte på generalforsamlingen, enten personlig eller ved fullmakt, og har videre rett til å uttale seg. Aksjeeiere kan også møte med rådgiver som har talerett på generalforsamlingen.

En aksjeeier har rett til å fremsette forslag til beslutning i saker på dagsordenen og til å kreve at styremedlemmer og daglig leder på generalforsamlingen gir tilgjengelige opplysninger om forhold som kan innvirke på bedømmelsen av (i) saker som er forelagt generalforsamlingen til avgjørelse og (ii) Selskapets økonomiske stilling, herunder virksomheten i andre selskaper som Selskapet deltar i, og andre saker som generalforsamlingen skal behandle, med mindre de opplysninger som kreves ikke kan gis uten uforholdsmessig skade for Selskapet.

Bare den som er aksjeeier fem virkedager før generalforsamlingen (registreringsdatoen) har rett til å delta og stemme på generalforsamlingen, jf. asal. § 5-2 (1). Registreringsdatoen er **13. juni 2025**.

Selskapet har innført påmeldingsfrist i selskapets vedtekter, noe som innebærer at det kun er aksjeeiere som har registrert seg innen 18. juni 2025 kl. 16:00 som har lov til å delta og stemme på generalforsamlingen.

I henhold til allmennaksjeloven § 1-8, samt forskrift om formidlere omfattet av verdipapirsentralloven § 4-5 og tilhørende gjennomføringsforordninger, sendes innkalling til forvalter som videreformidler til aksjeeiere de holder aksjer for. Aksjeeiere skal kommunisere med sin forvalter, som har ansvar for å formidle påmeldinger, fullmakter eller stemmeinstrukser. Forvalter må registrere dette med selskapet senest 18. juni 2025.

Further description of the items on the agenda and the proposed resolutions are included in **Appendix 1** to this notice.

The Company is a Norwegian public limited liability company governed by Norwegian law, thereunder the Public Limited Liability Companies Act ("**NPLCA**") and the Securities Trading Act. As of the date of this notice, the Company has issued 234,690,967 shares. Each share in the Company carries one vote and otherwise has equal rights, except for the Company's 18,906,861 treasury shares which do not carry voting rights.

Shareholders are entitled to attend the general meeting in person or by proxy and are further entitled to speak at the general meeting. Shareholders may also be accompanied by an advisor who may speak at the general meeting.

A shareholder has a right to put forward a proposal for resolution in matters on the agenda and may require that members of the Board and the CEO at the general meeting provide available information about matters which may affect the assessment of (i) matters that are presented to the shareholders for decision and (ii) the Company's financial situation, including operations in other companies the Company participates in, and other matters to be discussed at the general meeting, unless the requested information cannot be disclosed without causing disproportionate damage to the Company.

Only those who are shareholders five business days before the general meeting (the record date) have the right to attend and vote at the general meeting, cf. section 5-2 (1) of the NPLCA. The record date is **13 June 2025**.

The Company has introduced regulations on a registration date in the company's articles of association, which for the purposes of this general meeting, implies that only shareholders that have registered their attendance by 18 June 2025 at 16:00 (CEST) are allowed to participate at and vote in the general meeting.

According to section 1-8 of the NPLCA, as well as regulations on intermediaries covered by section 4-5 of the Norwegian Act on Central Securities Depositories and Securities Settlement etc. and related implementing regulations, the notice is sent to custodians who pass it on to shareholders for whom they hold shares. Shareholders must communicate with their custodians, who are responsible for conveying the registration forms, proxies or voting instructions. Custodians must register this with the Company no later than 18 June 2025.

### **VEDLEGG 1: REDEGJØRELSE FOR SAKENE PÅ DAGSORDENEN**

#### **2. VALG AV MØTELEDER OG EN PERSON TIL Å MEDUNDERTEGNE PROTOKOLLEN**

*Styret foreslår at Ole Henrik Wille fra Wikborg Rein Advokatfirma AS, eller, eller en person utpekt av ham, velges som møteleder for generalforsamlingen.* 

En person til å medundertegne protokollen vil bli foreslått på generalforsamlingen.

**3. GODKJENNELSE AV INNKALLINGEN OG FORSLAGET TIL DAGSORDEN**

#### **4. KAPITALNEDSETTELSE VED NEDSETTELSE AV AKSJENES PÅLYDENDE VERDI**

Som annonsert i Selskapets børsmelding 27. mai 2025 ("**Børsmeldingen**") har Selskapet inngått en aksjekjøpsavtale med enkelte aksjeeiere ("**Selgerne**") i Fjord Defence AS ("**Fjord Defence**") for kjøp av 99 % av aksjene i Fjord Defence ("**Transaksjonen**"). Aksjeeiere som eier de resterende 1 % av Fjord Defence, vil få mulighet til å selge sine aksjer til Selskapet på samme vilkår som de øvrige Selgerne før oppkjøpet gjennomføres.

Det samlede vederlaget for aksjene i Fjord Defence utgjør NOK 170 175 000 ("**Vederlaget**"). Av Vederlaget skal opp til NOK 140 150 374,40 gjøres opp ved utstedelse av opp til 175 187 968 vederlagsaksjer i Selskapet til Selgerne ("**Vederlagsaksjene**"), til en avtalt tegningskurs på NOK 0,80 per aksje ("**Tegningskursen**").

Utstedelsen av Vederlagsaksjene vil gjennomføres ved at Selgerne overfører opp til 96 896 aksjer i Fjord Defence til Selskapet i bytte mot Vederlagsaksjene. Se mer informasjon under sak 6 under.

I tillegg til Vederlagsaksjene, skal Selskapet betale et kontantvederlag til Selgerne på NOK 30 024 625,60 ("**Kontantvederlaget**"). Som nærmere beskrevet i sak 5 under, vil deler av Kontantverdlaget finansieres gjennom Emisjonen (slik definert der).

Med bakgrunn i at Tegningskursen for Vederlagsaksjene (se sak 6) og i Emisjonen (se sak 5) er lavere enn pålydende verdi på Selskapets aksjer, er det behov for en kapitalnedsettelse i Selskapet. Styret foreslår at aksjekapitalen settes ned med NOK 70 407 290,10 ("**Nedsettelsesbeløpet**") fra NOK 234 690 967 til NOK 164 283 676,90, ved en reduksjon av pålydende per aksje fra NOK 1,00 med NOK 0,30 til NOK 0,70 per aksje ("**Kapitalnedsettelsen")**. Styret foreslår at Nedsettelsesbeløpet skal brukes til avsetning til fond som kan brukes etter generalforsamlingens beslutning, jf. asal. § 12-1 (1) nr. 3.

Kapitalnedsettelsen gjennomføres på bakgrunn av Selskapets årsregnskap for 2024, slik vedtatt av Selskapets generalforsamling den 22. mai 2025 ("**Årsregnskapet**"). Basert på Årsregnskapet har styret foretatt en vurdering av Selskapets netto eiendeler og konkludert med at Selskapet, etter

*The Board proposes that Ole Henrik Wille from Wikborg Rein Advokatfirma AS, or a person appointed by him, is elected as chair of the general meeting.*

A person to co-sign the minutes will be proposed at the general meeting.

**3. APPROVAL OF THE NOTICE AND THE PROPOSED AGENDA**

**Styret foreslår at generalforsamlingen fatter følgende vedtak: The Board proposes that the general meeting resolves as follows:**

*Innkallingen og forslaget til dagsorden godkjennes. The notice and the proposed agenda are approved.*

#### **4. SHARE CAPITAL REDUCTION BY REDUCTION OF THE NOMINAL VALUE OF THE SHARES**

As announced in the stock exchange announcement of 27 May 2025 (the "**Announcement**"), the Company has entered into a share purchase agreement with certain shareholders (the "**Sellers**") of Fjord Defence AS ("**Fjord Defence**") for the acquisition of 99% of the shares Fjord Defence (the "**Transaction**"). The shareholders owning the remaining 1% of Fjord Defence will be given the opportunity to sell their shares to the Company on identical terms as the other Sellers prior to completion of the Acquisition.

The total consideration for the shares in Fjord Defence amounts to NOK 170,175,000 (the "**Consideration**"). Of the Consideration, up to NOK 140,150,374.40 shall be settled by the issuance of up to 175,187,968 consideration shares in the Company to the Sellers (the "**Consideration Shares**"), at a subscription price of NOK 0,80 per share (the "**Subscription Price**").

The issuance of the consideration shares will be carried out by the Sellers transferring up to 96,896 shares in Fjord Defence to the Company in exchange for the Consideration Shares. See further details under item 6 below.

In addition to the Consideration Shares, the Company shall pay NOK 30,024,625,60 in cash to the Sellers (the "**Cash Settlement**"). As further described under item 5 below, parts of the Cash Settlement will be financed by proceeds from the Private Placement (as defined therein).

As the Subscription Price for the Consideration Shares (see item 6) and in the Private Placement (see item 5) is lower than the par value of the Company's shares, a share capital reduction in the Company is needed. The Board proposes that the share capital of the Company is reduced by NOK 70,407,290.10 (the "**Reduction Amount**"), from NOK 234,690,967 to NOK 164,283,676.90, by reducing the par value of each share by NOK 0.30, from NOK 1.00 to NOK 0.70 (the "**Share Capital Reduction**"). The Board proposes that the Reduction Amount shall be used for allocation to a fund to be used as decided by the general meeting, cf. NPLCA section 12-1 (1) no. 3.

The Share Capital Reduction will be completed based on the Company's annual accounts for 2024, as approved by the Company's general meeting on 22 May 2025 (the "**Annual Accounts**"). Based on the Annual Accounts the Board has assessed the net assets and concluded that after the

gjennomføringen av Kapitalnedsettelsen, utstedelsen av Vederlagsaksjene og Emisjonen, vil ha netto eiendeler som gir dekning for Selskapets aksjekapital og øvrig bundet egenkapital. Dette er også bekreftet av Selskapets revisor, jf. erklæring inntatt som **Vedlegg 3** til innkallingen.

Ettersom Selskapets aksjekapital umiddelbart etter Kapitalnedsettelsen vil bli økt med minimum NOK 173 736 886,40 og maksimum NOK 175 131 577,60 (jf. sak 5 og 6 under), er det ingen særlige omstendigheter som må tas i betraktning i forbindelse med Kapitalnedsettelsen. Styret er ikke kjent med at det har inntruffet begivenheter av vesentlig betydning for Selskapet siden 31. desember 2024, utover Transaksjonen, Emisjonen og det som ellers følger av Årsregnskapet, Selskapets kvartalsrapport for Q1 2025 og øvrige børsmeldinger offentliggjort på [www.newsweb.no](http://www.newsweb.no/) og Selskapets hjemmeside.

Ettersom Kapitalnedsettelsen vil være betinget av Emisjonen og utstedelsen av Vederlagsaksjene, som resulterer i at Selskapets aksjekapital vil økes med et beløp som er høyere enn Nedsetningsbeløpet, kan kapitalnedsettelsen gjennomføres uten kreditorvarsel, jf. asal. § 12-5 (2).

### **På bakgrunn av overnevnte foreslår styret at generalforsamlingen fatter følgende vedtak:**

- *1. Selskapets aksjekapital settes ned med NOK 70 407 290,10 fra NOK 234 690 967 til NOK 164 283 676,90.*
- *2. Kapitalnedsettelsen gjennomføres ved at pålydende verdi per aksje settes ned med NOK 0,30, fra NOK 1,00 til NOK 0,70.*
- *3. Nedsettelsesbeløpet skal avsettes til fond som kan brukes etter generalforsamlingens beslutning, jf. asal § 12-1 (1) nr. 3.*
- 
- *5. Kapitalnedsettelsen er betinget av gjennomføringen kapitalforhøyelsene foreslått i sak 5 (5.1 og 5.2) og sak 6 nedenfor.*

Det vises til Børsmeldingen hvor Selskapet annonserte en vellykket plassering av en rettet emisjon med betinget allokering av 75 000 000 nye aksjer i Selskapet ("**Tilbudsaksjene**"), til Tegningskursen (dvs. NOK 0,80 per aksje), med et bruttoproveny på NOK 60 000 000 ("**Emisjonen**"). SpareBank 1 Markets AS bistår som tilrettelegger for Emisjonen.

Emisjonen er betinget av generalforsamlingens godkjennelse. Ytterligere informasjon om Emisjonen, vilkår og bakgrunnen for denne fremgår av Børsmeldingen.

For å kunne levere Tilbudsaksjene til investorer i forbindelse med gjennomføring av Emisjonen, foreslår styret at generalforsamlingen vedtar å forhøye Selskapets aksjekapital ved å utstede Tilbudsaksjene til Tegningskursen.

Tatt i betraktning at det totale antall Tilbudsaksjer overstiger 20% av Selskapets utstedte aksjer, er det foreslått et Emisjonen gjennomføres i to implementation the Share Capital Reduction, the issuance of the Consideration Shares and the Private Placement, the Company's net assets will cover the Company's share capital and other non-distributable equity. This has also been confirmed by the Company's auditor, cf. the confirmation included as **Appendix 3** to the notice.

Since the share capital of the Company will immediately be increased by a minimum of NOK 173,736,886.40 and a maximum of NOK 175,131,577.60 after the Share Capital Reduction (ref. item 5 and 6 below), there are no special circumstances that need to be taken into account in connection with the Share Capital Reduction. The Board is not aware of any events of significance affecting the Company since 31 December 2024, other than the Company entering into the Transaction, the Private Placement and what is otherwise set out in the Annual Accounts, the Company's interim account for Q1 2025 and other announcements published on [www.newsweb.no](http://www.newsweb.no/) and the Company's website.

As the Share Capital Reduction will be conditional upon the Private Placement and the issuance of the Consideration Shares, which entails that the Company's share capital will be increased by an amount exceeding the Reduction Amount, the Share Capital Reduction may be completed without a creditor notice, cf. section 12-5 (2) of the NPLCA.

#### **On basis of the above, the Board proposes that the general meeting resolves as follows:**

- *1. The Company's share capital is reduced with NOK 70,407,290.10, from NOK 234,690,967 to NOK 164,283,676.90.*
- *2. The reduction of the share capital shall be completed by the par value of each share being reduced by NOK 0.30, from NOK 1.00 to NOK 0.70.*
- *3. The reduction amount shall be allocated to a fund to be used as decided by the general meeting, cf. section 12-1 (1) no. 3 of the NPLCA.*
- *4. Selskapets vedtekter § 4 endres tilsvarende. 4. Section 4 of the Company's articles of association will be amended accordingly.*
	- *5. The share capital reduction is conditional upon the completion of the proposed share capital increases in item 5 (5.1 and 5.2.) and item 6 below.*

#### **5. KAPITALFORHØYELSE: EMISJONEN 5. SHARE CAPITAL INCREASE: THE PRIVATE PLACEMENT**

Reference is made to the Announcement where the Company announced the successful placing of a private placement with conditional allocation of 75,000,000 new shares in the Company (the "**Offer Shares**") at the Subscription Price (i.e. NOK 0.80 per share), with gross proceeds of NOK 60,000,000 (the "**Private Placement**"). SpareBank 1 Markets AS is acting as sole manager in the Private Placement.

The Private Placement is subject to the approval by the general meeting. Further information about the Private Placement, conditions and its background, is included in the Announcement.

In order to deliver the Offer Shares to investors in connection with completion of the Private Placement, the Board proposes that the general meeting resolves to increase the Company's share capital, by issuing the Offer Shares at the Subscription Price.

Considering that the number of Offer Shares exceeds 20% of the number of issued shares in the Company, it has been proposed that the Private

Transje 1 består av 46 938 193 nye aksjer, som representerer ca. 20 % av de utestående aksjene i Selskapet ("**Transje 1-Aksjene**") Transje 2 består av 28 061 807 nye aksjer, som utgjør ca. 12,0 % av de utestående aksjene i Selskapet ("**Transje 2-Aksjene**"). I forbindelse med noteringen av Transje 2-Aksjene (og Vederlagsaksjene) på Euronext Expand, vil Selskapet utarbeide og få Finanstilsynets godkjennelse av et prospekt. Prospektet forventes godkjent av Finanstilsynet i løpet av september 2025. Transje 2- Aksjene vil bli ustedt på et separat unotert ISIN i påvente av godkjennelsen og offentliggjøringen av prospektet.

Nettoprovenyet fra Emisjonen vil bli brukt av Selskapet til å delfinansiere Kontantvederlaget, gjøre opp aksjonærlån i Fjord Defence (ca. NOK 9 millioner), samt til arbeidskapital og generelle selskapsformål. Styret anser det derfor for å være i Selskapets og aksjeeiernes felles interesse å gjennomføre Emisjonen.

Styret har vurdert Emisjonen i lys av kravene til likebehandling etter asal. og verdipapirhandelloven § 5-14, og er av det syn at Selskapets forpliktelser knyttet til likebehandling av aksjeeierne er ivaretatt. Se Børsmeldingen under "*Equal treatment considerations and potential subsequent offering*" for mer informasjon.

For forhold som må tillegges vekt ved en investering i Selskapets aksjer, og for hendelser siden siste balansedag, vises det (for denne sak 5 og de følgende sakene) til Årsregnskapet, Selskapets kvartalsrapport for Q1 2025 og øvrige børsmeldinger offentliggjort via [www.newsweb.no](http://www.newsweb.no/) og på Selskapets hjemmeside. Etter styrets syn har det ikke inntrådt hendelser av vesentlig betydning for Selskapet etter siste årsregnskap utover Transaksjonen, Emisjonen og hendelser det er opplyst om gjennom Selskapets kvartalsrapport for Q1 2025 og børsmeldinger. Avskrift av Selskapets seneste årsregnskap, årsberetning og revisjonsberetning er tilgjengelig på Selskapets hjemmeside.

#### **På bakgrunn av overnevnte foreslår styret at generalforsamlingen fatter følgende vedtak:**

- *1. Aksjekapitalen forhøyes med NOK 32 856 735,10, ved utstedelse av 46 938 193 nye aksjer, hver pålydende NOK 0,70.*
- *2. Tegningskursen er NOK 0,80 per aksje, hvorav NOK 0,70, er aksjekapital og NOK 0,10 er overkurs per aksje. Totalt innskudd er NOK 37 550 554,40, hvorav 4 693 819,30 er total overkurs.*
- *3. De nye aksjene kan tegnes av SpareBank 1 Markets AS, på vegne av, og etter fullmakt fra, investorene som har blitt allokert aksjer i Emisjonen. Eksisterende aksjeeieres fortrinnsrett til de nye aksjene etter asal. § 10-4 fravikes, jf. asal. § 10-5.*
- 
- *5. Innbetaling av tegningsbeløpet skal skje senest 24. juni 2025 til en særskilt emisjonskonto oppgitt av Selskapet.*

Placement is carried out in two tranches. Tranche 1 consists of 46,938,193 Offer Shares, representing approx. 20% of the outstanding shares in the Company (the "**Tranche 1 Shares**"). Tranche 2 consists of 28,061,807 Offer Shares, representing approx. 12.0% of the currently outstanding shares in the Company (the "**Tranche 2 Shares**"). In connection with the listing of the Tranche 2 Shares (and the Consideration Shares) on Euronext Expand, the Company will prepare and obtain the approval by the Financial Supervisory Authority of Norway of a prospectus. The prospectus is expected to be approved during September 2025. The Tranche 2 Shares will be issued on a separate non-listed ISIN pending approval and publication of the prospectus.

The net proceeds from of the Private Placement will be used by the Company to partly finance the Cash Consideration, settlement of shareholder loans in Fjord Defence (NOK ~9 million), as well as for working capital and general corporate purposes. Hence, the Board considers it to be in the common interest of the Company and its shareholders to carry out the Private Placement.

The Board has considered the Private Placement in light of the equal treatment obligations under the NPLCA and section 5-14 of the Norwegian Securities Trading Act, and is of the opinion that the Company's obligations on equal treatment are complied with. Please refer to the section "*Equal treatment considerations and potential subsequent offering*" in the Announcement for further details.

Regarding circumstances which should be taken into account when investing in shares in the Company, and for events since the latest balance sheet date, reference is (for this item 5 and the following items) made to the Annual Accounts, the Company's interim report for Q1 2025 and the other stock exchange notices published on [www.newsweb.no](http://www.newsweb.no/) and the Company's website. In the view of the Board, nothing has occurred which is of significant importance to the Company since its latest Annual Accounts, apart from the Transaction, the Private Placement and what has been disclosed in the Company's interim report for Q1 2025 and stock exchange announcements. Copies of the Company's latest Annual Accounts, annual report, and auditor report is available at the Company's registered address and website.

#### **On basis of the above, the Board proposes that the general meeting resolves to pass the following resolution:**

#### **5.1 Emisjon – Transje 1 5.1 Private Placement – Tranche 1**

- *1. The share capital is increased by NOK 32,856,735.10, by the issuance of 46,938,193 new shares, each with a par value of NOK 0.70.*
- *2. The subscription price is NOK 0.80 per share, of which NOK 0.70 is share capital and NOK 0.10 is premium per share. The total contribution is NOK 37,550,554.40, of which NOK 4,693,819.30 is total share premium.*
- *3. The new shares may be subscribed by SpareBank 1 Markets AS, on behalf of, and as authorised by, the investors having been allocated shares in the Private Placement. The preferential rights of the existing shareholders pursuant to section 10-4 of the NPLCA are thus deviated from, cf. NPLCA section 10-5.*
- *4. Aksjene tegnes i særskilt tegningsdokument innen 24. juni 2025. 4. The shares shall be subscribed in a separate subscription form no later than 24 June 2025.*
	- *5. Payment of the subscription amount shall be made to the Company's designated share issue account no later than 24 June 2025.*

#### **6. KAPITALFORHØYELSE: UTSTEDELSE AV VEDERLAGSAKSJER I FORBINDELSE MED TRANSAKSJONEN**

Som annonsert i Børsmeldingen og slik nærmere beskrevet under sak 4 over, skal deler av Vederlaget i Transaksjonen gjøres opp ved at Selskapet utsteder Vederlagsaksjene. Gjennomføringen av Transaksjonen er betinget av at Selskapets generalforsamling vedtar utstedelsen av Vederlagsaksjene.

Tegningsbeløpet for Vederlagsaksjene vil bli gjort opp ved at Selgerne overfører minimum 95 794 aksjer og maksimum 96 896 aksjer i Fjord Defence til Selskapet. Slik overdragelse vil ansees erklært ved Selgernes tegning av Vederlagsaksjene.

Vederlagsaksjene vil være underlagt omsetningsbegrensninger (lock-up) hvorav 1/3 av Vederlagsaksjene frigis etter 12 måneder, 1/3 av Vederlagsaksjene etter 24 måneder, og resterende 1/3 av Vederlagsaksjene etter 36 måneder fra datoen for gjennomføringen av Transaksjonen.

- *6. The new shares rank equal with the Company's existing shares and carry dividend rights from the time of registration of the capital increase with the Norwegian Register of Business Enterprises.*
- *7. At completion of the share capital increase, the Company's articles of association section 4 shall be amended accordingly.*
- *8. Estimated expenditures amount to approximately NOK 3 million in total for the Private Placement.*

### **5.2 Emisjon – Transje 2 5.2 Private Placement – Tranche 2**

- *1. The share capital is increased by NOK 19,643,264.90, by the issuance of 28,061,807 new shares, each with a par value of NOK 0.70.*
- *2. The subscription price is NOK 0.80 per share, of which NOK 0.70 is share capital and NOK 0.10 is premium per share. The total contribution is NOK 22,449,445.60, of which NOK 2,806,108.70 is total share premium.*
- *3. The new shares may be subscribed by SpareBank 1 Markets AS, on behalf of, and as authorised by, the investors having been allocated shares in the Private Placement. The preferential rights of the existing shareholders pursuant to section 10-4 of the NPLCA are thus deviated from, cf. NPLCA section 10-5.*

#### **6. SHARE CAPITAL INCREASE: ISSUANCE OF CONSIDERATOIN SHARES IN CONNECTION WITH THE TRANSACTION**

As announced in the Announcement and as further set out under item 4 above, parts of the Consideration under the Transaction shall be settled by the Company issuing the Consideration Shares. The completion of the Transaction is conditional upon the Company's general meeting issuing the Consideration shares.

The subscription price for the Consideration Shares will be settled by the Sellers transferring minimum 95,794 shares and maximum 96,896 shares in Fjord Defence to the Company. Such transfer is declared upon the Sellers subscription of the Consideration Shares.

The Consideration Shares will be subject to lock-up, of which 1/3 of the Consideration Shares will be released after 12 months, 1/3 of the Consideration Shares after 24 months, and the remaining 1/3 of the Consideration Shares after 36 months from the date of completion of the Transaction.

For å kunne levere Vederlagsaksjene til Selgerne i forbindelse med gjennomføring av Transaksjonen, foreslår styret at generalforsamlingen vedtar en kapitalforhøyelse ved å utstede Vederlagsaksjene til Selgerne.

I forbindelse med noteringen av Vederlagsaksjene på Euronext Expand, vil Selskapet utarbeide og få Finanstilsynets godkjennelse av et prospekt. Prospektet forventes godkjent av Finanstilsynet i løpet av september 2025. Vederlagsaksjene vil bli ustedt på et separat unotert ISIN i påvente av godkjennelsen og offentliggjøringen av prospektet.

Ettersom aksjeinnskuddet skal gjøres opp i andre innskudd enn penger, har Selskapets revisor, PricewaterhouseCoopers AS ("**PwC**"), utarbeidet en sakkyndig redegjørelse for innskuddet, jf. asal. § 10-2 (3), jf. § 2-6 (1) og (2). Redegjørelsen fra PwC er inntatt i **Vedlegg 4** til denne innkallingen.

**På bakgrunn av overnevnte foreslår styret at generalforsamlingen fatter følgende vedtak:** 

- *1. Aksjekapitalen forhøyes med minimum NOK 121 236 886,40 og maksimum NOK 122 631 577,60, ved utstedelse av minimum 173 195 552 og maksimum 175 187 968 nye aksjer, hver pålydende NOK 0,70.*
- *2. Tegningskursen per aksje er NOK 0,80 per aksje, som medfører en overkurs per aksje på 0,10 og et totalt innskudd på minimum NOK 138 556 441,60 og maksimum NOK 140 150 374,40, hvorav minimum NOK 17 319 555,20 og maksimum NOK 17 518 796,80 er overkurs.*
- *3. De nye aksjene kan tegnes av følgende personer ("Tegnerne"), med slik fordeling som fastsatt under:*

In order to deliver the Consideration Shares to the Sellers in connection with the completion of the Transaction, the Board proposes that the general meeting resolves to increase the Company's share capital by issuing the Consideration Shares.

In connection with the listing of the Consideration Shares on Euronext Expand the Company will prepare and obtain the approval by the Financial Supervisory Authority of Norway of a prospectus. The prospectus is expected to be approved during September of 2025. The Consideration Shares will be issued on a separate non-listed ISIN pending approval and publication of the prospectus.

As the subscription price will be settled in other assets than cash, the Company's auditor, PricewaterhouseCoopers AS ("**PwC**"), has prepared a statement regarding the contribution, cf. sections 10-2 (3), cf. 2-6 (1) and (2) of the NPLCA. PwC's statement is included in **Appendix 4** to this notice.

#### **On basis of the above, the Board proposes that the general meeting resolves as follows:**

- *1. The share capital is increased by minimum NOK 121,236,886.40 and maximum NOK 122,631,577.60, by the issuance of minimum 173,195,552 and maximum 175,187,968 new shares, each with a par value of NOK 0.70.*
- *2. The subscription price per share is NOK 0.80, which implies a share premium per share of NOK 0.10 and a total contribution of minimum NOK 138,556,441.60 and maximum NOK 140,150,374.40, of which a total of minimum NOK 17,319,555.20 and maximum NOK 17,518,796.80 is share premium.*
- *3. The new shares shall be subscribed by the following persons (the "Subscribers"), with such allocation as set out below:*

Overdragelse av Aksjene anses erklært ved tegning av de nye aksjene.*
- *6. Vederlagsaksjene likestilles med Selskapets allerede utstedte aksjer og gir rett til utbytte fra og med tegning av de nye aksjene.*

Betinget av gjennomføringen av Transaksjonen, foreslår styret å endre Selskapets foretaksnavn fra "Aquila Holdings ASA" til "Fjord Defence Group ASA", samt å endre formålsbestemmelsen i Selskapets vedtekter. Se Børsmeldingen for mer informasjon om den strategiske reposisjoneringen av Selskapet i forbindelse med Transaksjonen.

#### **På bakgrunn av overstående foreslår styret at generalforsamlingen fatter følgende vedtak:**

*1. Selskapets vedtekter § 1 endres som følger:*

*"Selskapets foretaksnavn er Fjord Defence Group ASA. Selskapet er et allmennaksjeselskap."*

*2. Angivelsen av Selskapets virksomhet endres og § 3 i Selskapets vedtekter endres som følger:* 

*Selskapets virksomhet er å drive industri, handel og virksomhet innen forsvarssektoren og næringssektorer direkte eller indirekte knyttet til dette, samt investeringer i og erverv av virksomheter, verdipapirer, finansielle instrumenter og andre eiendeler og deltakelse i annen virksomhet direkte eller indirekte knyttet til dette.*

#### **8. STYREFULLMAKT TIL Å FORHØYE AKSJEKAPITALEN: MULIG REPARASJONSEMISJON**

Styret foreslår at generalforsamlingen vedtar å gi styret fullmakt til å forhøye Selskapets aksjekapital med inntil NOK 8 750 000, ved utstedelse av inntil 12 500 000 nye aksjer, for at styret skal ha mulighet til å gjennomføre en reparasjonsemisjon i etterkant av Emisjonen ("**Reparasjonsemisjonen**").

Hvis styret vedtar å gjennomføre Reparasjonsemisjonen, vil den bli rettet mot aksjeeiere i Selskapet per 27. mai 2025 (som registrert i VPS to handelsdager deretter), som (i) ikke ble inkludert i "wall-crossing"-fasen av Emisjonen, (ii) ikke fikk allokert aksjer i Emisjonen, og (iii) som ikke er hjemhørende i en jurisdiksjon hvor et slik tilbud vil være ulovlig eller vil (med unntak av Norge) medføre krav om utarbeidelse av prospekt, søknad eller registrering eller andre tilsvarende handlinger ("**Kvalifiserte Aksjeeiere**").

- *5. The subscription price shall be settled immediately upon the subscription by the Subscribers jointly contributing minimum 95,794 and maximum 96,896 shares in Fjord Defence AS, reg.no 918 699 856 (the "Shares") to the Company, with such allocation between the Subscribers as set out above. The transfer of the Shares is declared by the subscription of the new shares.*
- *6. The Consideration Shares rank equal with the Company's existing shares and carry dividend rights from the time of subscription of the new shares.*
- *7. At completion of the share capital increase, the Company's articles of association section 4 shall be amended accordingly.*
- *8. Estimated expenditures amount to approximately NOK 200,000 in total for the issuance of the Consideration Shares.*

#### **7. VEDTEKTSENDRINGER: SELSKAPSNAVN OG FORMÅL 7. CHANGES TO THE ARTICLES OF ASSOCIATION: COMPANY NAME AND OBJECTIVE**

Conditioned on completion of the Transaction, it has been proposed to amend the Company's business name from "Aquila Holdings ASA" to "Fjord Defence Group ASA", and to update the description of the Company's business in the Company's articles of association. Please refer to the Announcement for more information about the strategic repositioning of the Company in connection with the Transaction.

#### **Based on the above, the Board proposes that the general meeting adopts the following resolution:**

*1. The Company's articles of association section 1 is amended to read as follows:*

*"The Company's name is Fjord Defence Group ASA. The Company is a public limited liability company."*

*2. The objective of the Company is amended and section 3 is amended to read as follows:*

*The Company's business involves operation of industry, trade and business within the defence industry, and sectors of the business directly or indirectly in connection with such, including investments in and acquisition of businesses, securities, and financial instruments and other assets and participation in other businesses directly or indirectly related thereto.*

#### **8. BOARD AUTHORISATION TO INCREASE THE SHARE CAPITAL: POTENTIAL SUBSEQUENT OFFERING**

The Board proposes that the general meeting resolves to authorise the Board to increase the Company's share capital by up to NOK 8,750,000, by the issuance of up to 12,500,000 new shares, to allow the Board to carry out a potential issue of shares subsequent to the Private Placement (the "**Subsequent Offering**").

If resolved by the Board, the Subsequent Offering will be directed towards eligible shareholders in the Company as of 27 May 2025 (as registered in the VPS two trading days thereafter), who (i) were not included in the wallcrossing phase of the Private Placement, (ii) were not allocated Offer Shares in the Private Placement, and (iii) are not resident in a jurisdiction where such offering would be unlawful or would (in jurisdictions other than Norway) require any prospectus, filing, registration or similar action ("**Eligible Shareholders**").

En eventuell Reparasjonsemisjon vil være betinget av (i) gjennomføring av Emisjonen (inkludert godkjennelse av denne generalforsamlingen), (ii) nødvendige selskapsrettslig godkjennelser, inkludert styrets vedtak om å utstede aksjene i Reparasjonsemisjonen basert på denne fullmakten, (iii) godkjennelse og publisering av et prospekt, og (iv) den gjeldende markedsprisen på Selskapets aksjer sammen med tilsvarende handelsvolum etter Emisjonen. Styret kan beslutte at Reparasjonsemisjonen ikke skal gjennomføres hvis Selskapets aksjer handles på eller under tegningsprisen i Reparasjonsemisjonen (dvs. Emisjonskursen) i tilstrekkelig volum.

Fravikelsen av fortrinnsretten anses nødvendig for å kunne oppfylle formålene med den foreslåtte fullmakten.

**På bakgrunn av overnevnte foreslår styret at generalforsamlingen fatter følgende vedtak:** 

- *1. Styret gis fullmakt til å øke aksjekapitalen med inntil NOK 8 750 000. Fullmakten kan benyttes en eller flere ganger, og etter styrets skjønn.*
- *2. Fullmakten kan bare benyttes til å gjennomføre en reparasjonsemisjon i Selskapet etterfølgende Emisjonen vedtatt under sak 5 over.*
- *3. Tegningskurs per aksje ved bruk av fullmakten skal være NOK 0,80, og øvrige vilkår fastsettes av styret.*

- *5. Aksjeeiernes fortrinnsrett til å tegne aksjer i henhold til asal. § 10- 4 kan fravikes, jf. § 10-5.*
- *6. Fullmakten skal kun brukes ved kapitalforhøyelse mot innskudd i penger og omfatter ikke rett til å pådra Selskapet særlige plikter, jf. asal. § 10-2.*

- *9. Vedtaket er betinget av at generalforsamlingen vedtar vedtaket inntatt under sak 5 på dagsordenen.*

Any Subsequent Offering will be subject to (i) completion of the Private Placement (including approval by this general meeting), (ii) necessary corporate approvals including the Board resolving to issue shares in the Subsequent Offering based on this authorisation, (iii) approval and publication of a prospectus, and (iv) the prevailing market price of the Company's shares together with the corresponding trading volume following the Private Placement. The Board may decide that the Subsequent Offering shall not be carried out if the Company's shares trade at or below the subscription price in the Subsequent Offering (i.e. the Offer Price) at sufficient volumes.

The deviation from the preferential right is considered necessary to attain the purposes of the proposed authorisation.

### **On basis of the above, the Board proposes that the general meeting resolves to pass the following resolution:**

- *1. The board of directors is authorised to increase the share capital by up to NOK 8,750,000. The authorisation may be used on more than one occasion at the board of directors' discretion.*
- *2. The authorisation may only be used to carry out a subsequent offering in the Company following the Private Placement resolved under item 5 above.*
- *3. The subscription price per share upon use of the authorisation shall be NOK 0.80, and the other terms shall be determined by the board of directors.*
- *4. Fullmakten gjelder frem til 28. november 2025. 4. The authorisation is valid until 28 November 2025.*
	- *5. The shareholders' preferential rights to subscribe for shares pursuant to section 10-4 of the NPLCA may be set aside, cf. section 10-5.*
	- *6. The authorisation may only be utilised for capital increases with cash consideration and does not include any right to incur any special obligations for the Company, cf. section 10-2 of the NPLCA.*
- *7. Fullmakten omfatter ikke beslutning om fusjon etter asal. § 13-5. 7. The authorisation does not include resolutions on mergers pursuant to section 13-5 of the NPLCA.*
	- *8. The board of directors is authorised to make the necessary amendments to the articles of association upon execution of this authorisation.*
	- *9. The resolution is conditional upon the general meeting resolving to approve the proposed resolution in item 5 of the agenda.*
