## **Snam announces the accelerated bookbuilding completion for the sale of a portion of Italgas option rights in the context of the Italgas capital increase**

*Milan – May 29th , 2025 -* Further to the previous announcement made on the date hereof, Snam completed the accelerated bookbuilding process with the placement to institutional investors of 83,349,489 Italgas option rights due to Snam in the context of the Italgas capital increase at a price of 0.396 euros per option right, gross of placement fees, for a total consideration of approximately 32.5 million euros, implying a 1.93% discount versus the rights theoretical value based on today's Italgas share closing price, and equivalent to a 0.47% look-through discount on the correspondent Italgas shares.

Following such placement, which settlement is expected to take place on June 4th , 2025, Snam will hold 25,883,804 option rights for the subscription of new Italgas shares, that will be exercised using the proceeds from the placement.

J.P. Morgan acted as Sole Bookrunner on the accelerated bookbuilding offering.
