## **DBA GROUP ANNUNCIA LA FIRMA PER LA CESSIONE DEL 70% DI ACTUAL IT D.D. A TELELINK BUSINESS SERVICES GROUP AD**

VILLORBA (Treviso), 29 maggio 2025 – DBA Group S.p.A., società italiana specializzata nell'erogazione di servizi di Consulenza, Architettura, Ingegneria, Project Management e soluzioni ICT per la gestione del ciclo di vita di opere e infrastrutture mission-critical, comunica la firma del contratto notarile relativo alla cessione del 70% del capitale sociale detenuto, direttamente ed indirettamente, in Actual IT d.d. a Telelink Business Services Group AD (TBS), come anticipato nel comunicato stampa del 19 maggio 2025.

Il perfezionamento dell'Operazione è subordinato al soddisfacimento, prima del Closing, di alcune condizioni sospensive, tra cui, in particolare, l'ottenimento delle necessarie autorizzazioni da parte delle competenti Autorità Antitrust che presumibilmente avverrà entro la fine dell'esercizio in corso.

La cessione consente a DBA Group di capitalizzare gli investimenti compiuti negli anni nel settore ICT nei Balcani, mantenendo la presenza strategica nella telematica applicata alla logistica. L'operazione rafforza il focus del Gruppo sul mercato domestico ed europeo nei settori dell'ingegneria, del project management e dei servizi ICT per le infrastrutture. Le risorse finanziarie derivanti dalla transazione contribuiranno a migliorare la posizione finanziaria netta e a supportare la crescita, sia organica che attraverso operazioni di M&A.

# **DBA GROUP ANNOUNCES SIGNING OF AGREEMENT TO SELL 70% OF ACTUAL IT D.D. TO TELELINK BUSINESS SERVICES GROUP AD**

VILLORBA (Treviso), May 29, 2025 – DBA Group S.p.A., an Italian company specialised in Consultancy, Architecture, Engineering, Project Management, and ICT solutions for the lifecycle management of missioncritical assets and infrastructure, announces the signing of the notarial deed for the sale of 70% of the share capital held, directly and indirectly, in Actual IT d.d. to Telelink Business Services Group AD (TBS), as previously announced in the press release dated May 19, 2025.

The completion of the transaction is subject to the fulfillment of certain conditions precedent before the Closing, including, in particular, obtaining the necessary approvals from the competent Antitrust Authorities, which are expected to be granted by the end of the current fiscal year.

This sale allows DBA Group to capitalize on the investments made over the years in the ICT sector in the Balkans, while maintaining a strategic presence in telematics applied to logistics. The transaction strengthens the Group's focus on the domestic and European markets in the areas of engineering, project management, and ICT services for infrastructure. The financial resources from the deal will contribute to improving the Group's net financial position and support growth, both organically and through M&A operations.
