Participation rights of Latvijas Gāze shareholders in Conexus Baltic Grid

Shareholders are hereby advised that shares of Latvijas Gāze purchased on the stock exchange or in a private procedure do not include an interest in the new Joint Stock Company “Conexus Baltic Grid”, which is to be established as a result of reorganisation of Latvijas Gāze as per decision passed at the extraordinary shareholders’ meeting on September 2.

Hence, a person looking to buy or sell an interest in the to-be-established Joint Stock Company “Conexus Baltic Grid” should separately and directly negotiate with a person included in the list of shareholders of “Conexus Baltic Grid”. Changes in the list of shareholders of “Conexus Baltic Grid” on the basis of such transactions will be possible to make after the foundation of the company by submitting a notice of change of shareholder (the notice templates and the procedure of submission will be published before the foundation of the company).

Please also be advised that, as per law, an interest in “Conexus Baltic Grid” has only been obtained by those shareholders of Latvijas Gāze who were shareholders of Latvijas Gāze as at September 2 and who voted in favour of reorganisation of Latvijas Gāze or by that time submitted a written notification of wish to become a shareholder of the Joint Stock Company “Conexus Baltic Grid”.
