AGREEMENT REACHED WITH TRADE UNIONS ON THE STAFF REDUCTION PROCEDURE

. Turin (Italy), 28 March 2025 - Compagnia dei Caraibi S.p.A. Benefit Company (ticker TIME) ("Compagnia dei Caraibi" or the "Company") - a leading company in the import, development, brand building, and distribution of premium and over-premium spirits, wines, soft drinks from around the world, as well as Italian craft beers – following the announcement made on 31 March 2025, announces that today it has reached an agreement with the trade unions FISASCAT-CISL andUILTuCS-UIL, with the participation ofthe company's internal union representation, as part of the staff reduction procedure initiated pursuant to Articles 4 and 24 of Italian Law No. 223/1991.

The agreement was signed at the offices of the Piedmont Region – Department for Education, Training and Labour – in the presence of institutional representatives and all involved parties and concerns a maximum of 6 positions.

The agreement, the result of constructive and collaborative dialogue, is part of the broader reorganization and strategic refocusing plan undertaken by the Company, aimed at increasing operational efficiency, reducing fixed costs, and strengthening distribution capacity across both B2B and B2C channels.

The selection criteria for the employees involved, the timeline and procedures for the termination of employment relationships, as well as the economic support measures and assistance with job relocation, were the subject of a specific agreement with the union representatives. Terminations will take place either in compliance with the notice periods or, alternatively, through the payment of the indemnity in lieu as provided for by the applicable national collective bargaining agreement (CCNL).

Fabio Torretta, General Manager of the Company, commented: "This was a difficult but necessary decision to ensure the sustainability and resilience of our business model over the medium to long term. We approached discussions with the trade unions responsibly and constructively, identifying solutions that balanced the Company's restructuring needs with the protection of the employees involved.
