APERTURA DEL NONO PERIODO DI ESERCIZIO DEI "WARRANT OSAI 2020-2025" 1 GIUGNO – 30 GIUGNO 2025

Torino (TO), 27 maggio 2025 - OSAI Automation System S.p.A. S.B. (Ticker OSA), società attiva nella progettazione e produzione di macchine e linee complete per l'automazione e il testing su semiconduttori, comunica che dal 1° giugno 2025 si aprirà il Nono Periodo di esercizio dei "Warrant Osai 2020-2025" codice ISIN IT0005424822 (i "Warrant").

I portatori dei Warrant potranno richiederne l'esercizio a decorrere dal 1° giugno 2025 fino al 30 giugno 2025, termini iniziale e finale compresi (l' "Nono Periodo di Esercizio"), entro l'ultimo Giorno di Borsa Aperta di ciascun Periodo di Esercizio.

Le richieste dovranno essere presentate all'intermediario aderente a Monte Titoli S.p.A. presso cui sono depositati i Warrant. I portatori dei Warrant potranno sottoscrivere azioni ordinarie Osai di nuova emissione, prive del valore nominale, ammesse alla quotazione su EGM (le "Azioni di Compendio") nel rapporto di n. 1 (una) Azione di Compendio ogni n. 1 (un) Warrant presentati per l'esercizio.

Con riferimento al Nono Periodo di Esercizio, il prezzo di esercizio dei Warrant è pari ad Euro 2 per ciascuna Azione di Compendio sottoscritta.

Le Azioni di Compendio avranno il medesimo godimento delle Azioni negoziate su EGM o su altro mercato dove saranno negoziate le Azioni alla data di emissione delle Azioni di Compendio. Il Prezzo di Esercizio dovrà essere integralmente versato all'atto della presentazione della richiesta di esercizio, senza aggravio di commissioni e di spese a carico dei titolari dei Warrant richiedenti.

Le Azioni di Compendio sottoscritte dai titolari di Warrant durante il Nono Periodo di Esercizio saranno rese disponibili per la negoziazione, per il tramite di Monte Titoli S.p.A., il Giorno di Borsa Aperta successivo al termine dell'ultimo giorno di ciascun Periodo di Esercizio.

Qualora i titolari dei Warrant non richiedano di sottoscrivere le Azioni di Compendio entro l'ultimo Giorno di Borsa Aperta di ciascun Periodo di Esercizio, gli stessi perderanno il relativo diritto, fatta salva la facoltà di esercitare i suddetti Warrant in ognuno degli eventuali successivi Periodi di Esercizio, ma fermo restando il Termine di Decadenza.

Si informa che l'esercizio dei Warrant sarà automaticamente sospeso dal 06/06/2025 (incluso) fino al 24/06/2025 (incluso), data prevista dell'Assemblea in prima convocazione, riprendendo in data 25/06/2025, ovvero fino al 30/06/2025 (incluso) nel caso in cui l'Assemblea abbia luogo in seconda convocazione.

OPENING OF THE NINTH PERIOD OF OPERATION OF THE "OSAI WARRANT 2020-2025" 1st JUNE – 3Oth JUNE 2025

Turin, May 27th, 2025 –Osai Automation System S.p.A. Benefit Company (Ticker: OSA), a company that operates in the field of design and production of machines and complete lines for automation and testing on semiconductors, announces that the Ninth exercise period of the "Osai Warrants 2020-2025" ISIN code IT0005424822 (the "Warrants") will open on June 1st, 2025.

Holders of the Warrants may request to exercise their Warrants from June 1st, 2025 through June 30th, 2025, initial and final terms included (the "Ninht Exercise Periods"), until the last Trading Day of each Exercise Period.

Requests must be submitted to the intermediary attached to Monte Titoli S.p.A. where the Warrants are deposited. Warrant holders may subscribe for newly issued Osai ordinary shares, without par value, admitted to listing on EGM (the 'Conversion Shares') in the ratio of no. 1 (one) Conversion Share for every no. 1 (one) Warrant presented for exercise.

With reference to the Ninth Exercise Period, the exercise price of the Warrants is equal to Euro 2 for each Conversion Share subscribed.

The Conversion Shares will have the same value as the shares traded on the EGM or any other market on which the shares are traded on the date of issue of the Conversion Shares. The exercise price must be paid in full upon submission of the exercise request, without any increase in commissions and expenses to be borne by the requesting holders of Warrants.

The Conversion Shares subscribed by the Warrantholders during the Ninth Exercise Period will be made available for trading through Monte Titoli S.p.A. on the open trading day following the end of the last day of each Exercise Period.

If the Warrant holders do not request to subscribe for the Conversion Shares by the last trading day of each Exercise Period, they will lose their right to do so, without prejudice to the right to exercise the said Warrants in any subsequent Exercise Periods, but subject to the Expiry Term. The exercise price must be paid in full upon submission of the exercise request, without any increase in commissions and expenses to be borne by the requesting holders of Warrants.

Please also be advised that the exercise of the Warrants will be automatically suspended from 06/06/2025 (included) until 24/06/2025 (included), the scheduled date of the Shareholders' Meeting on first call, resuming on 25/06/2025, or until 30/06/2025 (included) in the case the Meeting is held on second call.
