The following is a Company Announcement issued by Bank of Valletta p.l.c. pursuant to the Capital Markets Rules issued by the Malta Financial Services Authority:

Bank of Valletta p.l.c. ("the Bank") refers to Company Announcement BOV503 issued on the 29 April 2025 wherein the Bank informed the market that it had been approached by third-parties expressing interest in prospective financial bids concerning HSBC Bank Malta p.l.c.

Following upon statements made by relevant authorities, the Bank is clarifying that it is not interested in entering into transactions which would be - or could be perceived as - directly increasing market concentration in the banking industry.

Consequently, the Bank will not be pursuing any transaction relating to the acquisition of shares in HSBC Bank Malta p.l.c.
