Erratum - Approval and Publication of Annual Report and Audited Financial Statements for the financial year ended 31st December 2023

Reference is made to company announcement G324 dated 23rd April 2024 in virtue of which the Company announced that during a meeting of its Board of Directors held on 23rd April 2024, the Company's Annual Report and Audited Financial Statements for the financial year ended 31st December 2023 were approved.

The copy of the Annual Report and Audited Financial Statements of the Company accompanying the publication of the said company announcement G324 was, erroneously, for the financial year ended 31st December 2022 as opposed to the intended Annual Report and Audited Financial Statements of the Company for the financial year ended 31st December 2023.

Accordingly, the Company hereby substitutes the audited financial statements (for the financial year ended 31st December 2022) linked to company announcement G324, which are to be disregarded, with the Company's Annual Report and Audited Financial Statements for the financial year ended 31st December 2023 being uploaded pursuant to the present announcement.

In virtue of this company announcement G325, a copy of the Company's Annual Report and Audited Financial Statements for the financial year ended 31st December 2023, as approved by the Board of Directors of the Company on 23rd April 2024, is now available for viewing and download from the following link on the G3 Group's website: https://www.g3.com.mt/investors/financial-statements/. Attached to this Company Announcement is a Directors' Declaration on ESEF Annual Financial Reports relative to the said Annual Report and Audited Financial Statements for the financial year ended 31st December 2023.

The rest of the information set out in the aforementioned company announcement G324 remains unchanged, specifically, (i) the reference to the variance noted in terms of Capital Markets Rule 5.16.24, (ii) the date set for the Annual General Meeting of the Company and the recommendation to the Annual General Meeting that no final dividend be declared in respect of the financial year ended 31st December 2023, as well as (iii) the approval of the Annual Report and Audited Financial Statements of G3 Holdings Limited for the financial year ended 31st December 2023 (a copy of which is available for viewing and download from the webpage indicated above).

We, the undersigned Daniel Grima (ID 538390M) and Juanita Bencini (ID 548161M), in our capacity as Directors of G3 FINANCE P.L.C., a company registered under the laws of Malta with company registration number C 94829 (hereinafter the "Company"), hereby certify:

• that the Company's Annual Report and Audited Financial Statements for the financial year ended 316 December 2023 have been approved by the Board of Directors of the Company and are hereby being made available to the public;
• ii. including the Commission Delegated Regulation on the European Single Electronic Format ("ESEF")" and the Capital Markets Rules**;
• iii. the auditor and that no alterations have been made to the audited elements of the Annual Financial Report, including the annual financial statements; and
