COMPANY ANNOUNCEMENT

The following is a Company Announcement by HSBC Bank Malta p.l.c. pursuant to the Capital Markets Rules issued by the Malta Financial Service Authority.

HSBC Bank Malta p.l.c. (the 'bank') held its Annual General Meeting (AGM) earlier today the 18 of April 2024. With reference to Company Announcement HSBC433 published on 11 April 2024, all the Ordinary Resolutions, Ordinary Resolutions Special Business and Extraordinary Resolutions were approved.

Board Composition:

In terms of Article 7(1) of the bank's Memorandum, John Bonello (Chairman), Geoffrey Fichte, Michel Cordina, Manfred Galdes, Malcolm Miller and Terecina Kwong, were appointed as Directors by the majority shareholder.

Three individuals were nominated for election as Directors by the minority shareholders. Ingrid Azzopardi, Alexiei Dingli and Maria Micallef were automatically elected as Directors in terms of Article 77(4) of the bank's Articles of Association.

With the exception of Geoffrey Fichte and Michel Cordina who are Executive Directors, the remaining Directors are all Non-Executive Directors.

The Board of Directors of the bank is therefore composed of the following:

During the Meeting John Bonello announced that as he has served on the Board for eleven years and in line with international best practice, he has elected to step down from Chairman of the Board once the majority shareholder appoints another Director to take up the role of Chairman, following receipt of regulatory approval.
