The following is a Company Announcement issued by G3 FINANCE P.L.C., a company registered under the laws of Malta with company registration number C 94829 (hereinafter the "Company"), pursuant to the Capital Markets Rules issued by the Malta Financial Services Authority in accordance with the provisions of the Financial Markets Act (Chapter 345 of the laws of Malta), as amended from time to time.

Information to the Market

Reference is made to the DOMS Boutique Hotel & Brasserie currently managed and operated by G3 Hospitality Limited (C 26935), a wholly-owned subsidiary of G3 Holdings Limited (C 94828, the Guarantor of the €12.5 million 4.5% secured bonds issued by the Company) and the principal operating company of the G3 Group. The DOMS comprises an 8-room boutique hotel and a brasserie, situated in the Parish Square of Mellieha. In terms of a deed of acquisition dated 13th February 2024 in the records of Notary Dr Jonathan Vella entered into by and between FEDA Properties Limited (C 41483), M.A.J. Properties Limited (C 58062) and G3 Hospitality Limited, G3 Hospitality Limited acquired twenty per cent of the property comprising the DOMS Boutique Hotel & Brasserie, free and unencumbered, for a consideration of €250,000.

Independently of the foregoing, G3 Hospitality Limited continues to enjoy all rights to manage, operate and use the DOMS Boutique Hotel & Brasserie emanating from a fifteen-year lease agreement entered into with the afore-mentioned FEDA Properties Limited and M.A.J. Properties Limited, qua lessors, on the 22nd December 2021.
