COMPANY ANNOUNCEMENT

The following is a Company Announcement by HSBC Bank Malta p.l.c. in compliance with the Capital Markets Rules issued by the Malta Financial Services Authority.

HSBC Bank Malta p.l.c. (the 'Bank') announces that Mr Yiannos Michaelides has reached the end of his tenure with the Bank and has relinquished his post of non-executive Director of the Bank with effect from 23 January 2024.

The Board of Directors expresses its gratitude towards Mr Michaelides for his valuable input and service to the Bank.

There are no matters concerning Mr Michaelides that warrant any disclosure in terms of the Capital Markets Rules.

The Bank further announces that the Board, in terms of the Bank's Articles of Association, has appointed Professor Alexiei Dingli as non-executive Director with effect from 24 January 2024 to fill the casual vacancy on the Board following Mr Michaelides's resignation.

Profs Dingli resides at 91, Santa Rita, Triq l-Assemblea Nazzjonali, San Gwann. Regulatory approval for the appointment of Profs Dingli has been obtained.

Profs Dingli is a Professor of Artificial Intelligence (AI) at the University of Malta. He has been conducting research and working in the field of AI for more than two decades, assisting different companies to implement AI solutions. His work has been rated World Class by international experts and he has won various local and international awards. He has also published several peer-reviewed publications and formed part of the Malta AI task-force which was setup by the Maltese government, aimed at making Malta one of the top AI countries in the world.

He is a B.Sc.IT (honours) graduate, which degree was obtained in 2001, from the University of Malta, has a Ph.D in Artificial Intelligence from the University of Sheffield, UK and an MBA in Technology Management from the Grenoble Business School, France.

There are no matters concerning Profs Alexiei Dingli that require disclosure under Capital Market Rules 5.20.5 to 5.20.9.
