Delay of Publication of the Annual Financial Report

The Company regretfully announces that it does not expect to be in a position to publish its Annual Financial Report for financial year ended 31st December 2021 by the 30th of April 2022, as required in terms of the Capital Market Rules.

The share for share exchange transaction announced on 25th June 2021 significantly increased the complexity of the Group, now spread across an increased number of reporting jurisdictions, and with continued COVID-19 infections amongst key accounting staff members, the preparation and the audit of the financial statements is taking longer than originally anticipated. Progress was further delayed by the Deputy CEO in charge of Finance being the victim of a serious hit and run accident during the most critical part of the audit period.

The Board of Directors and Audit Committee are in regular contact with KPMG, the auditors of the Company to monitor the audit process. KPMG have confirmed that the audit is progressing without any issues. The Board expects that it will be in position publish the Annual Financial Report on the 15 June 2022, however every effort is being made, and will continue to be made, to anticipate the publication as much as possible. The Directors will also shortly publish the date set for the annual general meeting.

On the 30th April 2022, the Company will publish financial key performance indicators of the Group for financial year 2021 as well as a trading update of the Group for the first quarter of 2022.

The delay in publication of the Company's audited consolidated financial statements is expected to result in the suspension of trading in the Company's listed securities by the Malta Stock Exchange with effect from the first trading day following the deadline for submission of the financial information in question in terms of the applicable Malta Financial Services Authority policy, until such time as such financial information is published by the Company in accordance with Capital Market Rules requirements. The Company will make such further announcements as may be necessary in this respect, in due course.

The Board of Directors also wishes to advise the market that the audited financial statements of Medserv Operations Limited (guarantor of the €20million 2023 6% Secured Notes) for the year ended 31 December 2021, will be published on 30th April 2022.
