The following is a company announcement issued by Mariner Finance p.l.c. (the "Company") pursuant to the Malta Financial Services Authority Listing Rules.

The Board of Directors of Mariner Finance p.l.c. (the "Company") hereby announces that Mr. Mark Vella, holder of a Maltese Identity Card bearing number 276680M and residing at 15, Robingate, Providence Street, Siggiewi, SGW 3060 has for personal reasons tendered his resignation from the office of Director, Judicial and Legal Representative of the Company with effect from today the twenty eight (28th) day of February 2022.

For the purposes of Capital Markets Rule 5.21, it is hereby confirmed that there is no further matter concerning Mr Mark Vella which requires disclosure under the Capital Market Rules. The Company wishes to thank Mr Vella for his service and contribution to the Company.

The Company hereby further announces that Dr Ian Micallef holder of a Maltese Identity Card bearing number 360069M has been appointed to the office of Director, Judicial and Legal Representative of the Company with immediate effect. Dr Ian Micallef is a practising lawyer since 1995 and has held directorship positions in other companies in the past.
