The following is a Company Announcement issued by Hili Properties p.l.c. (the "Company") pursuant to the Capital Markets Rules issued by the Malta Financial Services Authority in accordance with the provisions of the Financial Markets Act (Chapter 345 of the Laws of Malta), as amended from time to time.

The Company announces that it is in advanced preparations in respect of a proposed public offering and listing of its shares (the "Shares"). If approved by the Company's Board of Directors, an application will be submitted to the Malta Financial Services Authority (the "MFSA") requesting the admissibility to listing of the Shares and to the Board of Directors of the Malta Stock Exchange (the "Exchange") for the Shares to be admitted to the Official List of the Exchange.

As the proposed issuance of the Shares is subject to a number of conditions, including but not limited to approvals by the MFSA and the Exchange, it may or may not materialise. The Company will make further announcements in respect of the proposed issuance and listing of the Shares as and when appropriate.
