COMPANY ANNOUNCEMENT

The following is a company announcement issued by RS2 Software p.l.c. (the "Company") pursuant to the Malta Financial Services Authority Listing Rules.

Issue of up to 28,571,400 preference shares by the Company having a nominal value of €0.06 per preference share (the "Preference Shares") hereinafter referred to as the "Offer"

The Board of Directors of the Company announces that it has authorised the submission of an Application for Authorisation for Admissibility to Listing to the Listing Authority requesting the approval of a prospectus in relation to the Offer.

The Offer, which is still subject to regulatory approval, will be available to financial intermediaries through an intermediaries' offer, preferred applicants (being RS2 shareholders and RS2 employees) and the general public.

Further information about the Offer including: i) the date when the Application for Authorisation for Admissibility to Listing will be considered by the Listing Authority; ii) the record date by which RS2 shareholders will be entitled to be classified as preferred applicants; and iii) the offer price for the Preference Shares, will be communicated in due course through a company announcement.
