The following is a Company Announcement issued by Hili Properties p.l.c.

(the "Company") in terms of the Listing Rules

The Company hereby announces that Mr. Geoffrey Camilleri, holder of Identity Card Number 569579M of 299, Ithaca, Triq Frans Sammut, Żebbug, Malta, has resigned from the office of Director of the Company with effect from the 4 January 2021. There is no matter concerning Mr. Geoffrey Camilleri requiring disclosure under the Listing Rules.

It is further announced that Mr. Eddy Vermeir, holder of Belgian Passport Number EN441734 residing at Derde Helmersstraat 65, 1054BE Amsterdam, the Netherlands, will take on the role of Director of the Company with effect from the 4 January 2021.

Eddy Vermeir is Senior Director of Business Transformation at Hili Ventures. He joined the Group in 2016 after a career in international finance, of which 25 years with McDonald's Corp, where he held executive market and European leadership roles in finance, franchising and global finance talent development. During his tenure at McDonald's he played a key role in designing site location tools and teaching finance to real estate leadership teams. He pursued his post-graduate studies in Corporate Finance at VLEKHO - Business School in Brussels. There is no further matter concerning Mr. Eddy Vermeir requiring disclosure under the Listing Rules 5.20. and 5.21.

The Board thanks Mr. Geoffrey Camilleri for his valid contribution to the Company. Mr. Camilleri retains other roles within the Hili Ventures Group.
