COMPANY ANNOUNCEMENT

The following is a Company Announcement issued by Hili Properties p.l.c. (C57954) (the 'Company') pursuant to the Listing Rules.

QUOTE

The Company hereby announces that Mr Victor Tedesco, holder of Identity Card Number 594964M, and residing at 10, Triq I. Newton, Il-Mellieħa, Malta, has resigned from the office of Director of the Company, as well as from his Membership in the Audit Committee, with effect from the 15th January 2020. The Board of Directors thanks Mr Tedesco for his service to the Company.

The Company further announces that Mr Peter Hili, holder of Identity Card Number 173093M, and residing at 18, Triq San Kristofru, Il-Belt Valletta, Malta, who is a director of the Company, has been appointed Member of the Audit Committee with effect from the 15th January 2020. There is no matter concerning Mr Peter Hili requiring disclosure under the Listing Rules.

The Company also announces that Mr Andris Purins, holder of Latvian Passport Number 171085-12907 resident at Gertrudes 71-60, Riga, Latvia, has resigned from the office of Chief Financial Officer of the Company. Ms Daniela Pavia, holder of Identity Card Number 269382M, and residing at Plot 36, Triq Għawxqet l-Għajn, Marsaskala, MSK 1403, Malta will take on the role of Chief Financial Officer of the Company from the 11th February 2020.

Ms Pavia holds a Bachelor of Honours in Accountancy and a Diploma in Taxation both from University of Malta. She is joining Hili Properties from Hili Ventures Limited, the parent company, where she has occupied the position of Director of Finance since June 2016. Throughout the past years she was instrumental for the Finance Function at Hili Ventures Limited and the setup of various other companies within the Group.

There is no matter concerning Ms Daniela Pavia requiring disclosure under the Listing Rules 5.20.5 to 5.20.9.
