The following is a Company Announcement issued by MIDI p.l.c. ("MIDI" or the "Company") pursuant to the Listing Rules issued by the Listing Authority.

Annual General Meeting

At the Annual General Meeting of the Company held yesterday the 11 June 2019, the shareholders considered and approved the following resolutions:

Ordinary Resolutions

• 1. That the Audited Financial Statements for the financial year ended 31 December 2018 and the Report of the Directors and the Auditors thereon as set out in the Annual Report be and are hereby approved.
• 2. That a final net dividend of €0.008 per share, which represents a final net dividend of €1,713,279 as recommended by the Directors, for payment on the 28th June 2019 be and is hereby approved.
• 3. That the re‐appointment of PricewaterhouseCoopers, of 78, Mill Street, Qormi, Malta as auditors of the Company be hereby approved and that the Directors are hereby authorised to fix their remuneration.
• 4. That €75,000 be established as the maximum annual aggregate remuneration for all Directors in line with the previous year.

Appointment of Directors

The new Board of Directors was appointed in accordance with the Articles of Association of the Company.

The following directors will hold office up to the next Annual General Meeting:

Mr John Mary sive Jimmy Gatt (ID 299052M) of "Ziffa", Triq Bugibba, Saint Paul's Bay is the chairman of Gatt Brothers (Mosta) Limited and has been in the private industry for the past 45 years, mainly in the development of residential and commercial property. Mr Gatt was a director of the Company between 18 June 2013 and 22 June 2015 and as well as prior to the Company's ordinary shares being admitted to listing on the Malta Stock Exchange. Mr Gatt is, amongst other directorships which he holds, a director of Pender Ville Limited.

There are no other matters to be disclosed with respect to John Mary Gatt in terms of Listing Rules 5.20.5 to 5.20.9.
