The following is a company Announcement issued by Hili Properties p.l.c. (the "Company") in terms of Listing Rule 5.16 of the Listing Rules.

QUOTE

The Company hereby announces that Mr. David Spina, holder of Identity Card Number 151978M of Is-Salvja, Vjal il-Qalbiena Mostin, Mosta, MST 2353, Malta, has resigned from the office of Chief Financial Officer of the Company with effect from the 30 April 2019.

There is no matter concerning Mr. David Spina requiring disclosure under the Listing Rules.

It is further announced that with effect from the 30 April 2019, Ms. Baiba Muzikante, holder of Latvian Passport Number LV4636428 resident at Str. Stabu 105-46, Riga LATVIA LV-1009, will take on the role of Chief Financial Officer of the Company.

Ms. Muzikante has an MBA in International Finance and Banking from Swiss Business School in Latvia. She was previously the Chief Financial Officer of a real estate management company City Service SIA in Latvia.

There is no further matter concerning Ms. Baiba Muzikante requiring disclosure under the Listing Rules 5.20. and 5.21.
