The following is a company announcement issued by Mariner Finance p.l.c. pursuant to Listing Rule of the Malta Financial Services Authority Listing Rules.

The Company announces the resignation of Mr Nicholas Bianco from the Board of Directors of the Company effective from 14 April 2019. The Company would like to thank Mr Bianco for his loyal service.

Pursuant to the aforesaid resignation, the Company announces the appointment of Mr Mark Vella to the Board of Directors with effect from 15 April 2019. For the purpose of Listing Rule 5.16.5, the following information is hereby being reported in respect of the newly appointed Director of the Company:

Mr Mark Vella, holder of ID card number 276680M residing at 15, Robingate, Providence Street, Siggiewi, is being appointed as Director of the Company with effect from 1st April 2019.

Mark works with an international group as a portfolio manager and investment advisor, where he is part of a global team focused on fixed income strategies for institutional clients. He has several years' experience working in fixed income and leveraged finance with a focus on investment grade, high yield and crossover corporate bonds, leveraged loans, and CLOs. Prior to his current role, Mark worked with a hedge fund group where he was part of a specialist credit team managing a 5star MorningStar-rated global credit strategies fund, and with a European credit-specialist bank where he was part of a team managing a \$2bn portfolio of leveraged loans and high yield bonds, including an award-winning CLO. Prior to that, he held finance and audit roles with a number of leading institutions including American Insurance Group (AIG) and PricewaterhouseCoopers.

Mark is a qualified CPA, and holds a first-class Bachelor of Accountancy Honours degree from the University of Malta. He completed the Masters in Wealth Management Programme from the Chartered Institute of Securities and Investments (CISI UK), and undertook specialist leveraged finance training with Moody's.

There is no matter concerning Mr Mark Vella which requires disclosure in terms of Listing Rules 5.20.5 to 5.20.9 (both included).
