COMPANY ANNOUNCEMENT

The following is a Company Announcement issued by Bank of Valletta p.l.c. pursuant to the Listing Rules issued by the Listing Authority:

The Bank refers to Company Announcement 336 issued on the 18 April 2018 in relation to a company announcement by Amalgamated Investments SICAV p.l.c. (the SICAV), whereby the SICAV had informed the market that it had entered into a preliminary agreement with UniCredit S.p.A, to acquire the latter's qualifying shareholding in the Bank, subject to regulatory approval.

Further to a company announcement issued on the 1 November 2018 by Amalgamated Investments SICAV p.l.c. the Bank is informed that the conditions precedent in the aforementioned preliminary agreement were not all satisfied by the 31st October 2018 and accordingly, the agreement is automatically terminated.
