RS2 Software p.l.c. COMPANY ANNOUNCEMENT

The following is a company announcement issued by RS2 Software p.l.c. ("Company") pursuant to Malta Financial Services Authority Listing Rules - Chapter 5.

As indicated in Company Announcement 51 published on the 16 May 2013, a bona fide offeror is desirous of acquiring a substantial shareholding (not less than 10%) in the Company.

The shareholders have sanctioned the disclosure of price sensitive information to the bona fide offeror in accordance with the provisions of Listing Rule 5.174.3 et seq.

Should the transaction materialize, the bona fide offeror, a major European bank intends to establish a strategic relationship with the Company.

Further disclosures will be made in due course.
