**9. Forslag om fullmakt til Selskapets styre til å forhøye Selskapets aksjekapital - – styrking av egenkapital**

- *(i) I henhold til allmennaksjeloven § 10-14 gis Styret fullmakt til å forhøye Selskapets aksjekapital med inntil NOK 13 447 258.*
- *(ii) Fullmakten kan benyttes til å tilby aksjer til potensielle strategiske investorer eller partnere og til å styrke Selskapets egenkapital.*
- *(iii) Fullmakten gjelder frem til Selskapets ordinære generalforsamling i 2026, men ikke lenger enn til 30. juni 2026.*
- *(iv) Aksjeeiernes fortrinnsrett til de nye aksjene etter allmennaksjeloven § 10-4 skal kunne fravikes.*
- *(v) Fullmakten omfatter kapitalforhøyelser mot innskudd i penger og mot innskudd i andre eiendeler enn penger. Fullmakten omfatter rett til å pådra Selskapet særlige plikter, jf. allmennaksjeloven § 10-2.*
- *(vi) Fullmakten omfatter kapitalforhøyelser ved fusjon etter allmennaksjeloven § 13-5.*
- *(vii) Fullmakten kan også benyttes av Styret i en situasjon der et tilbud er fremsatt i henhold til bestemmelsene i verdipapirhandelloven §§ 6-1, 6-2 (2) eller 6-6, jf. verdipapirhandelloven § 6-17 (2).*
- *(viii) Med virkning fra tidspunktet for registrering av denne fullmakten i Foretaksregisteret trekkes alle tidligere fullmakter til å forhøye aksjekapitalen tilbake."*

**9. Proposal for authorization to the board of directors to increase the Company's share capital – strengthening equity**

Generalforsamlingen traff følgende vedtak: The general meeting passed the following resolution:

- *(i) Pursuant to § 10-14 of the Norwegian Public Limited Liability Companies Act, the Board is authorised to increase the Company's share capital by up to NOK 13 447 258.*
- *(ii) The authorisation may be used to offer shares to potential strategic investors or partners, and to strengthen the Company's equity.*
- *(iii) The authorisation is valid until the Company's 2026 Annual General Meeting, but no later than 30 June 2026.*
- *(iv) The Shareholders' preferential rights to new shares pursuant to § 10-4 of the Norwegian Public Limited Liability Companies Act may be waived.*
- *(v) The authorisation shall include share capital increases against cash contribution and against contribution in other assets than cash. The authorisation covers the right to incur special obligations for the Company, see § 10-2 of the Norwegian Public Limited Liability Companies Act.*
- *(vi) The authorisation includes share capital increases in connection with mergers pursuant to § 13-5 of the Norwegian Public Limited Liability Companies Act.*
- *(vii) The authorisation may also be used by the Board if an offer is made in accordance with §§ 6-1, 6-2 (2) or 6-6 of the Norwegian Securities Trading Act, see § 6-17 (2) of the Norwegian Securities Trading Act.*
- *(viii) With effect from the time of registration of this authority with the Norwegian Register of Business Enterprises the previous authorities to increase the share capital are withdrawn."*

# **10. Forslag om fullmakt til Selskapets styre til å forhøye Selskapets aksjekapital - incentivprogrammer**

- *(iv) Aksjeeiernes fortrinnsrett til de nye aksjene etter allmennaksjeloven § 10-4 skal kunne fravikes.*
- *(v) Fullmakten omfatter kapitalforhøyelser mot innskudd i penger og mot innskudd i andre eiendeler enn penger. Fullmakten omfatter rett til å pådra Selskapet særlige plikter, jf. allmennaksjeloven § 10-2.*

Generalforsamlingen traff følgende vedtak: The general meeting passed the following resolution:

*(i) "The board of directors is authorized pursuant to the Public Limited Liability Companies Act section 9-4 to acquire shares in the Company ("own shares") on behalf of the Company with an aggregate nominal value of up to NOK 6,723,629*
