*styremedlemmer skal motta et årlig honorar på NOK 350 000 hver. I tillegg skal hvert enkelt medlem av revisjonsutvalget og godtgjørelsesutvalget motta et årlig honorar på NOK 50 000. Honoraret utbetales kvartalsvis. Valgkomitéens leder skal motta et årlig honorar på NOK 35 000 og øvrig medlem av valgkomitéen skal motta et årlig honorar på NOK 30 000. Honorarsatsen gjelder inntil generalforsamlingen vedtar noe annet*."

**5. Godkjennelse av honorar til Selskapets revisor**

> I samsvar med styrets forslag traff generalforsamlingen følgende vedtak:

> *Revisors godtgjørelse skal godkjennes etter regning.*

# **6. Godkjennelse av retningslinjer for lønn og annen godtgjørelse til ledende personer**

I samsvar med styrets forslag traff generalforsamlingen følgende vedtak:

*"Retningslinjene for lønn og annen godtgjørelse til ledende personer."*

I samsvar med valgkomiteens forslag traff generalforsamlingen følgende vedtak:

«*Synne Syrrist, Cathrine Haavind og Daniel Gold gjenvelges som styremedlemmer i en periode på 2 år*.»

I samsvar med valgkomiteens forslag traff generalforsamlingen følgende vedtak:

«*Eric Jacobs gjenvelges som leder av valgkomitéen for en periode på 1 år*.»

*other board members shall receive an annual fee of NOK 350,000 each. In addition each member of the audit committee and the remuneration committee shall receive an annual fee of NOK 50,000. The fee is payable on a quarterly basis. The chairperson of the Nomination Committee shall receive an annual fee of NOK 35,000 and the other member of the Nomination Committee shall receive an annual fee of NOK 30,000. The fee level will apply until the general meeting decides otherwise*."

Vedtaket ble truffet enstemmig. The resolution was passed unanimously.

### **5. Approval of the auditor's fee**

In accordance with the proposal from the Board of Directors, the General Meeting passed the following resolution:

*The auditor's remuneration shall be paid in accordance with invoice.*

Vedtaket ble truffet enstemmig. The resolution was passed unanimously.

#### **6. Approval of guidelines for remuneration of executive personnel and board members**

In accordance with the proposal from the Board of Directors, the General Meeting passed the following resolution:

*"The guidelines for remuneration of executive personnel and board members are approved."*

Vedtaket ble truffet enstemmig. The resolution was passed unanimously.

# **7. Valg av styre 7. Election of Board members**

In accordance with the proposal from the Nomination Committee, the General Meeting passed the following resolution:

"*Synne Syrrist, Cathrine Haavind and Daniel Gold are re-elected as board members for a period of 2 years*."

Vedtaket ble truffet enstemmig. The resolution was passed unanimously.

### **8. Valg av medlem til valgkomitéen 8. Election of member to the Nomination Committee**

In accordance with the proposal from the Nomination Committee, the General Meeting passed the following resolution:

"*Eric Jacobs is re-elected as chair of the Nomination Committee for a period of 1 year*."

Vedtaket ble truffet enstemmig. The resolution was passed unanimously.

## **9. Forslag om fullmakt til Selskapets styre til å forhøye Selskapets aksjekapital**

I samsvar med styrets forslag traff generalforsamlingen følgende vedtak:

*"Styret gis i henhold til allmennaksjeloven § 10-14 (1) fullmakt til å forhøye Selskapets aksjekapital med inntil NOK 39 955 058. Innenfor denne samlede beløpsrammen kan fullmakten benyttes flere ganger.*

*Fullmakten kan benyttes til å utstede aksjer som vederlag i forbindelse med transaksjoner eller ellers, i forbindelse med incentiv- eller aksjeprogrammer for ansatte, ledelsen og styret, og til innhenting av ny egenkapital for å styrke Selskapets finansiering.*

*Fullmakten gjelder frem til ordinær generalforsamling i 2026, dog senest til 30. juni 2026.*

*Aksjeeiernes fortrinnsrett etter allmennaksjeloven § 10-4 kan fravikes.*

*Fullmakten omfatter kapitalforhøyelse mot innskudd i penger og mot innskudd i andre eiendeler enn penger. Fullmakten omfatter rett til å pådra selskapet særlige plikter, jf. allmennaksjeloven § 10-2. Fullmakten omfatter beslutning om fusjon etter allmennaksjeloven § 13- 5.*

*Fullmakt til å forhøye aksjekapitalen gitt i ordinær generalforsamling 7. mai 2024 trekkes tilbake fra det tidspunktet denne fullmakten registreres i Foretaksregisteret."*

Vedtaket ble vedtatt. 31,245,044 aksjer stemte for forslaget. 4,885,084 aksjer stemte mot forslaget.

# **10. Forslag om fullmakt til erverv av Selskapets egne aksjer**

I samsvar med styrets forslag traff generalforsamlingen følgende vedtak:

*"Styret gis i henhold til allmennaksjeloven § 9-4 fullmakt til på vegne av Selskapet å erverve aksjer i Selskapet ("egne aksjer")* 

### **9. Authorisation to the Board to increase the Company's share capital**

In accordance with the proposal from the Board of Directors, the General Meeting passed the following resolution:

*"The board of directors is authorized pursuant to the Public Limited Companies Act § 10-14 (1) to increase the Company's share capital by up to NOK 39,955,058. Subject to this aggregate amount limitation, the authority may be used on more than one occasion.*

*The authority may be used to issue shares as consideration in connection with transactions or otherwise, in connection with incentive and share schemes for employees, management and the Board, and to raise new equity in order to strengthen the Company's financing.*

*The authority shall remain in force until the annual general meeting in 2026, but in no event later than 30 June 2026.*

*The pre-emptive rights of the shareholders under § 10-4 of the Public Limited Companies Act may be set aside.*

*The authority covers capital increases against contributions in cash and contributions other than in cash. The authority covers the right to incur special obligations for the Company, ref. § 10-2 of the Public Limited Companies Act. The authority covers resolutions on mergers in accordance with § 13-5 of the Public Limited Companies Act.*

*The authorization to increase the share capital given at the annual general meeting on 7 May 2024 is withdrawn from the time when this authorization is registered with the Register of Business Enterprises."*

The resolution was passed. 31,245,044 shares voted in favour of the proposal. 4,885,084 shares voted against the proposal.

# **10. Authorisation to the Board to acquire own shares**

In accordance with the proposal from the Board of Directors, the General Meeting passed the following resolution:

*"The board of directors is authorised pursuant to the Public Limited Liability Companies Act § 9-4 to acquire shares in the Company ("own shares") on behalf of*

*med en samlet pålydende verdi på inntil NOK 7 991 011.*

*Ved erverv av egne aksjer kan det ikke betales et vederlag pr. aksje som er mindre enn NOK 1 eller som overstiger NOK 100.*

*Styret fastsetter på hvilke måter egne aksjer kan erverves eller avhendes.*

*Fullmakten gjelder frem til ordinær generalforsamling i 2026, dog senest til 30. juni 2026."*

*Fullmakt til erverv av egne aksjer gitt i ordinær generalforsamling 7. mai 2024 trekkes tilbake fra det tidspunktet denne fullmakten registreres i Foretaksregisteret."*

I samsvar med styrets forslag traff generalforsamlingen følgende vedtak:

*«Generalforsamlingen gir styret fullmakt i henhold til allmennaksjeloven § 8-2 annet ledd til å beslutte utdeling av utbytte på grunnlag av Selskapets årsregnskap for 2024. Fullmakten gjelder fra det tidspunktet den registreres i Foretaksregisteret og frem til Selskapets ordinære generalforsamling i 2026.»*

I samsvar med styrets forslag traff generalforsamlingen følgende vedtak:

Paragraf 5 første ledd i vedtektene justeres som følger:

*"Selskapets styre består av 3 til 7 styremedlemmer etter generalforsamlingens nærmere beslutning."*

*"Selskapet skal ha en valgkomité bestående av 2 til 3 medlemmer.* 

*Valgkomiteens medlemmer, herunder dens leder, velges av*  *the Company with an aggregate nominal value of up to 7,991,011.*

*When acquiring own shares the consideration per share may not be less than NOK 1 and may not exceed NOK 100.*

*The board of directors determines the methods by which own shares can be acquired or disposed of.*

*The authority shall remain in force until the annual general meeting in 2026, but in no event later than 30 June 2026."*

*The authorization to acquire own shares given at the annual general meeting on 7 May 2024 is withdrawn from the time when this authorization is registered with the Register of Business Enterprises."*

Vedtaket ble truffet enstemmig. The resolution was passed unanimously.

### **11. Fullmakt til utdeling av utbytte 11. Authorisation to the Board to resolve dividend payments**

In accordance with the proposal from the Board of Directors, the General Meeting passed the following resolution:

*"The board of directors is authorised pursuant to the Public Limited Liability Companies Act section 8-2, second paragraph, to resolve dividend payments based on the Company's annual accounts for 2024. The authorisation is valid from the time of registration with the Norwegian Register of Business Enterprises and until the annual general meeting in 2026."*

Vedtaket ble truffet enstemmig. The resolution was passed unanimously.

#### **12. Endring av Selskapets vedtekter 12. Amendments to the Company's articles of association**

In accordance with the proposal from the Board of Directors, the General Meeting passed the following resolution:

Article 5, first paragraph of the articles of association is adjusted as follows:

*"The company's board of directors shall consist of 3 to 7 board members as decided by the general meeting."*

# Ny paragraf 8: New section 8:

*"The company shall have a nomination committee consisting of 2 to 3 members.*

*The members of the nomination committee, including its chairman, are*

*generalforsamlingen. Tjenestetiden for valgkomitéens medlemmer skal være to år med mindre generalforsamlingen beslutter noe annet. Tjenestetiden regnes fra valget når noe annet ikke er bestemt. Den opphører ved avslutningen av den ordinære generalforsamling i det året tjenestetiden utløper. Selv om tjenestetiden er utløpt, skal medlemmet bli stående i vervet inntil nytt medlem er valgt.*

*Honorar for valgkomiteens medlemmer skal fastsettes av generalforsamlingen.*

*Valgkomiteen skal ha følgende oppgaver:* 

*(i) å avgi innstilling til generalforsamlingen om valg av aksjonærvalgte styremedlemmer;*

*(ii) å avgi innstilling til generalforsamlingen om honorar for styrets medlemmer;*

*(iii) å avgi innstilling til generalforsamlingen om valg av medlemmer av valgkomiteen; og*

*(iv) å avgi innstilling til generalforsamlingen om honorar for valgkomitéens medlemmer.* 

*Generalforsamlingen kan fastsette nærmere retningslinjer for valgkomitéens arbeid."*

**13. Godkjennelse av retningslinjer for valgkomiteen**

> I samsvar med styrets forslag traff generalforsamlingen følgende vedtak:

> *"Retningslinjene for valgkomitéen godkjennes."*

Det var ikke flere saker på dagsorden, så møtet ble avsluttet.

*elected by the general meeting. The term for the members of the nomination committee shall be two years unless the general meeting decides otherwise. The term of service is calculated from the date of election unless otherwise decided. It ends at the conclusion of the annual general meeting in the year in which the term of office expires. Even if the term of office has expired, the member shall remain in office until a new member is elected.*

*Fees for the members of the nomination committee shall be determined by the general meeting.*

*The nomination committee shall have the following tasks:*

*(i) to make recommendations to the general meeting on the election of shareholder-elected board members;*

*(ii) to make recommendations to the general meeting on remuneration for the members of the board;*

*(iii) to make recommendations to the general meeting on the election of members of the nomination committee; and*

*(iv) submitting a recommendation to the general meeting on the remuneration of the members of the nomination committee.*

*The general meeting may establish further guidelines for the work of the nomination committee."*

Vedtaket ble truffet enstemmig. The resolution was passed unanimously.

### **13. Approval of guidelines for Nomination Committee**

In accordance with the proposal from the Board of Directors, the General Meeting passed the following resolution:

*"The guidelines for the Nomination Committee are approved."*

Vedtaket ble truffet enstemmig. The resolution was passed unanimously.

There were no further matters on the agenda, so the meeting was closed.

In case of any discrepancies between the Norwegian text and the English translation, the Norwegian text shall prevail.
