Bajaj Auto International Holding B.V., Milsbeek, Netherlands ('Bajaj BV'), and Pierer Industrie AG, Wels, Austria ('PIAG'), currently hold Pierer Bajaj AG, Wels, Austria ('PBAG') as a joint venture, which in turn currently holds around 74.94% of the shares in PIERER Mobility AG, Wels, Austria ('PMAG').

On 22 May 2025, PIAG granted Bajaj BV a call option to acquire PBAG shares currently held by PIAG (the 'PBAG Call Option'). The exercise of the PBAG Call Option is subject to a number of conditions (such as the receipt of approvals from the competent competition authorities and the competent authorities for the control of foreign investments) and can only take place after the fulfilment of these conditions.

Furthermore, the exercise of the PBAG Call Option is limited until 31 May 2026.
