POWER OF ATTORNEY

KALANTIA LIMITED, 28 Oktovriou, 261 View Point Tower, 3035 Limassol, Ciper, registrska številka: HE 226757, KID koda: 119600113244662 (v nadaljevanju: »prevzemnik«), ki jo zastopata direktorja Eirini Konstantinou in Efpraxia Lazarou, pooblašča:
- pooblaščenega člana ALTA Invest, investicijske . storitve, d.d., Železna cesta 18, 1000 Ljubljana, Republika Slovenija, ki ga zastopata izvršna direktorja Matjaž Albreht in Igor Taljat, da v imenu in za račun prevzemnika podpiše in posreduje prevzemno namero za objavo prevzemne ponudbe skladno s 24. členom Zakona o prevzemih (ZPre-1) (v tejstu: »prevzemna namera«) ter da je v skladu z določbami 23. člena Zakona o prevzemih (ZPre-1) upravičen v imenu in za račun prevzemnika dati prevzemno ponudbo za odkup vseh navadnih delnic z glasovalno pravico ciljne družbe KS NALOŽBE finančne naložbe d.d., s poslovnim naslovom Dunajska cesta 9, 1000 Ljubljana, Republika Slovenija, matična številka: 2225727000, ident. št. za DDV in davčna številka: Sl 74816926, ki še niso v imetništvu prevzemnika (v tekstu: »prevzemna ponudba«), in v postopku v zvezi s prevzemno namero in prevzemno ponudbo opraviti druga pravna dejanja;
- · družbi ALTA Invest, investicijske storitve, d.d., Železna cesta 18, 1000 Ljubljana, Republika Slovenija, ki jo zastopata izvršna direktorja Matjaž Albreht in lgor Taljat, ter ALTA Skupina, upravljanje družb, d.d., Železna cesta 18, 1000 Ljubljana, Republika Slovenija, ki jo zastopata izvršna direktorja Aleš Škerlak in Simon Mastnak, za zastopanje pri komuniciranju s pristojnimi organi oz. subjekti v postopku v zvezi s prevzemno namero in prevzemno ponudbo (ki vključuje tudi pooblastilo za vročitev dovoljenja Agencije za trg vrednostnih papirjev za prevzemno ponudbo).
Pooblaščenca morata obvestiti družbo o vsakem sprejetem ukrepu, v skladu s svojimi pristojnostmi v okviru tega pooblastila, pod pogojem, da družbo obvesti v roku 5 delovnih dni od ukrepa.
To pooblastilo je veljavno za obdobje enega leta od datuma podpisa, torej do 15. maja 2018, razen v primeru obnovitve in podaljšanja s strani pooblaščene osebe družbe.
Pooblastilo se podpiše v treh originalih.
KALANTIA LIMITED, 28 Oktovriou, 261 View Point Tower, 3035 Limassol, Cyprus, registration number: HE 226757, KID code: »Offeror«), represented by directors Eirini Konstantinou and Efpraxia Lazarou, hereby appoints:
- the authorised member ALTA Invest, investicijske storitve, d.d., Železna cesta 18, 1000 Ljubljana, Republic of Slovenia, represented by executive directors Matjaž Albreht and Igor Taljat, to sign and distribute on behalf and for the account of the Offeror intention to publish a Takeover Bid in accordance with Article 24 of Slovenian Takeovers Act (ZPre-1) (in the text: »Intention to take over«) and to issue on behalf and for the account of the Offeror a takeover bid for the regular shares with voting right of the target company KS NALOŽBE finančne naložbe d.d., with business address at Dunajska cesta 9, 1000 Ljubljana, Republic of Slovenia, registration number: 2225727000, VAT identification number and tax number: SI 74816926, that are not held by the Offeror (hereinafter: »Takeover Bid«) and perform other legal acts in connection with the Intention to take over and Takeover Bid, according to the provisions of the Article 23 of ZPre-1;
- the companies ALTA Invest, investicijske storitve, d.d., Železna cesta 18, 1000 Ljubljana, Republic of Slovenia, represented by executive directors Matjaž Albreht and Igor Taljat, and ALTA Skupina, upravljanje družb, d.d., Železna cesta 18, 1000 Ljubljana, Republic of Slovenia, represented by executive directors Aleš Škerlak and Simon Mastnak, for the representation in communication with the competent authorities or other subjects in the Takeover Bid procedure (including but not limited to the authorisation for acceptance of the Authorisation for the Takeover Bid issued by the Slovenian Securities Market Agency (Agencija za trg vrednostnih papirjev)).
The Attorneys have to notify the Company for each action taken by them, pursuant to the powers vested to them under this Power of Attorney provided always that such notification will take place within 5 working days from the action taken.
This Power of Attorney will be valid for a period of one year from date of signature hereof, i.e. up to 15th of May 2018 unless renewed and extended by the authorized designated person of the Company.
