Completion of sale of the 100% share of Planet TV, televizijska dejavnost, d.o.o.

Pursuant to the provisions of the Rules of the Ljubljana Stock Exchange, d. d., Ljubljana and valid legislation, Telekom Slovenije, d.d., Cigaletova 15, Ljubljana, hereby notifies the public that today, 30 September 2020, after fulfilling all conditions precedent from the Share Purchase Agreement (hereinafter: SPA), concluded on 7 July 2020, and after all rights and obligations of the buyer under the SPA were transferred, pursuant to the Contract on Transfer of Contracts of 7 September 2020, to the buyer's subsidiary TV2 ADRIA, vodenje družb, d.o.o., the sale of all business shares of Telekom Slovenije in Planet TV, televizijska dejavnost, d.o.o. (hereinafter: Planet TV), which together represent 100% of the nominal value of Planet TV’s share capital, is completed.

Before the sale and in order to fulfil the condition precedent from the SPA, Telekom Slovenije, d.d., increased the capital of Planet TV by converting its claims into the company’s share capital. The subject of the sale were all existing business shares and the newly obtained share, which together represent 100% of the share capital of Planet TV.

The purchase price for the shares of Planet TV is, as published earlier, EUR 5.0 million. In the Unaudited business report of Telekom Slovenije Group and Telekom Slovenije, d.d., for the first half of the year 2020 Telekom Slovenije, d.d., had included the full expenditure from the impairment of assets of Planet TV, and the receivables from loans in Telekom Slovenije, d.d., and shall, after completing the transaction by receiving the purchase fee, record a positive effect from the sale of the company.

The notification will also be available on the company’s website (www.telekom.si)/) for a period of at least 5 years.
