Announcement on the conclusion of the Share Purchase Agreement for the purchase of 100% shares of the company ACTUAL I.T., informacijske tehnologije, d.d.

Pursuant to the provisions of the Rules of the Ljubljana Stock Exchange and the valid legislation, Telekom Slovenije, d.d., hereby publishes the following notification:

Telekom Slovenije, d.d., Cigaletova 15, Ljubljana (hereinafter: Telekom Slovenije), hereby notifies the public that today, on the 28th March 2022, Telekom Slovenije, acting as the purchaser, signed and entered into with the companies DBA informacijske tehnologije d.o.o. and DBA Group S.p.A, acting as the sellers, a shares purchase agreement for the purchase of 2,040,275 shares of the company ACTUAL I.T., informacijske tehnologije, d.d. (hereinafter: ACTUAL), representing a 100% stake in ACTUAL (hereinafter: SPA).

The SPA is signed subject to several conditions precedent, which have to be fulfilled before the final completion of the transaction (hereinafter: Closing). It is anticipated that the Closing shall occur within next 6 months.

Detailed information on the respective transaction were already published in the announcement on successful conclusion of negotiations on conclusion of an agreement for the purchase of 100% shares of the company ACTUAL I.T., informacijske tehnologije, d.d., published on 28 March 2022.

This notification will also be available on the company’s website (www.telekom.si)) for a period of at least 5 years.
