INFORMATION ON PROPOSED USE OF THE 2023 BALANCE SHEET PROFIT

Celje, 18 April 2024

At the conclusion of the financial year 2023, Cinkarna Celje, d. d. formed balance sheet profit, as specified in the publicly disclosed audited Annual Report for the fiscal year 2023.

Due to the existing restrictions of the Act on Assistance to the Economy to Mitigate the Effects of the Energy Crisis (ZPGOPEK), specified in paragraph 12 of Article 16, the company cannot distribute the profit generated in 2023. Therefore, a proposal will be made to transfer this portion to other reserves form profit. With the aim of protecting shareholder interests and ensuring a stable dividend policy, the company has proactively acted and for this purpose transferred funds from other profit reserves created before 2023 (to which the ZPGOPEK restriction does not apply) into the balance sheet profit of 2023, which will be allocated for dividend payments.

Considering the stated above, the Management and Supervisory Board will publish a detailed proposal on the use of balance sheet profit as part of the announcement for the Annual General Meeting, which will be announced on May 17, 2024.
