Reference is made to the stock exchange notice of 26 April 2022 regarding the completion of Skybound Game Studios, Inc ("Skybound")'s subscription of 36,129,608 new shares (the "Second Tranche") in 5th Planet Games A/S ("5PG"), and the stock exchange notice of 8 September 2021 regarding Skybound's obligation to make a mandatory offer obligation upon completion of such Second Tranche.

Skybound has through the subscription of shares in the Second Tranche acquired 36,129,608 new shares in 5PG. Following the acquisition, Skybound holds a total of 57,807,373 shares in 5PG, representing approx. 35.2% of the shares and votes in 5PG. The acquisition has triggered an obligation for Skybound to make a mandatory offer pursuant to Danish Capital Markets Act.

Skybound will put forward a mandatory offer to acquire all 5PG shares not held by Skybound within the four weeks deadline stipulated by section 6-10 (1) of the Norwegian Securities Trading Act. The offer price in the forthcoming offer will be NOK 0.60968 per 5PG share, which is equal to the subscription price paid for the shares in the Second Tranche and represents the highest price Skybound has agreed or paid for shares in 5PG during the last six months.
