Dear 5th Planet Games Shareholders,

A number of you have written with questions about the tender offer to buy your shares at a lower price than the current market value. We want to put to bed any concerns.

When Skybound invested, according to applicable securities law, we were required to offer to all existing 5PG shareholders the opportunity to sell their shares to Skybound at the same per share price that Skybound paid. The current stock price is significantly higher.

So, for absolute clarity, you do not need to sell your stock to Skybound for less than you could earn on the open market!

To be extra clear, we are not offering you investment advice and we are not telling you whether or not to sell your stock pursuant to the mandatory offer. We note emphatically that there may be cultural differences that would cause one to sell their stock for a lower rather than higher price; however, we do not believe this to be likely.

We would be delighted for all of you to remain 5PG shareholders and continue this exiting journey with us, but we are also happy when 5PG shareholders can make a profit on the market, thanks to the rising stock price.

Our combined goal is to continue growing and creating value together with all 5PG shareholders as we announce and bring to market fantastic new games.
