Hugo Games A/S completes capital increase NO 4-2016

Hugo Games A/S completes capital increase

COPENHAGEN, January 27th 2016. Hugo Games A/S (OAX: HUGO), a

mobile interactive entertainment developer and publisher of

mobile games has raised gross proceeds of DKK 1,000,000

following pricing of its previously announced Private

Placement (see Company Announcement No. 3-2016 dated January

26, 2016). Hugo Games A/S will issue 274,148 new shares with

a nominal value of DKK 0.50 each at a price of DKK

3.65 per share.

The increase in share capital is done in order to further

secure the company's ongoing strategy to become a "Tier 1"

mobile company in the Nordic region.

The new shares to be issued as a result of the Private

Placement represent approx. 1.1 % of Hugo Games A/S'

registered share capital before the capital increase.

Following the capital increase, Hugo Games A/S will have a

registered nominal share capital of DKK 12,637,074 divided

into 25,274,148 shares of DKK 0.50 each. Registration of the

capital increase with the Danish Business Authority is

expected to take place on February 2, 2016. Hugo Games A/S'

updated articles of association will be published separately

and made available at Hugo Games A/S' website,

www.hugogames.com.

The settlement date, on which the new shares will be

delivered to the investors against payment, is expected to

be February 3, 2016. The settlement is subject to customary

closing conditions.

Expected date of admission for trading and official listing

of the new shares is February 4, 2016. The new shares will

be admitted to trading and official listing under the

existing ISIN securities identification code for Hugo Games

A/S' shares.
