Minutes from Extraordinary General Meeting - No 2-2016

Year 2016, on 6 January at 10.00 a.m., an extraordinary

general meeting in Hugo Games A/S, CVR-no. 33 59 71 42, was

held at Charlottehaven, Hjørringgade 12C, 2100 Copenhagen.

The Chairman opened the general meeting by stating that the

general meeting had been timely and duly convened and was

competent to transact business according to the agenda. The

Chairman further stated that 62.8% of the company's share

capital was present, in person or by proxy.

Below is stated briefly the decisions taken at the meeting:

Appointment of new Auditor:

Grant Thornton, statsautoriseret revisionspartnerselskab was

appointed.

Proposal from the Board of Directors:

Proposal to grant the board of directors with authority to

(i) issue convertible notes without pre-empting rights, (ii)

perform one or more increases of the company's share capital

with pre-empting rights, and (iii) perform one or more

increases of the company's share capital without pre-empting

rights for the current shareholders. The proposal was

approved.
