Re: STATEMENT OF MR. VARNAVAS EIRINARCHOS IN RELATION TO THE OPINION OF THE BOARD OF DIRECTORS OF DEMETRA HOLDINGS PLC (THE "COMPANY") REGARDING THE MANDATORY PUBLIC OFFER OF LOGICOM SERVICES TO THE COMPANY'S SHAREHOLDERS

Further to the Company's announcement dated 27 March 2025 and in addition to the Opinion of the Company's Board of Directors regarding the Mandatory Public Offer of Logicom Services (the "Public Offer") pursuant to the provisions of the Public Takeover Bids Law of 2007, Law no. 41(I)/2007 (as amended) published on 27 March 2025 (the "Report"), Mr. Varnavas Eirinarchos, the Company's Director who is also Director of Logicom Services Limited and Managing Director of Logicom group, who did not participate in the meetings of the Company's Board of Directors for the examination of the Public Offer and Report documents due to conflict of interests, wishes to state and hereby states the following:

• (a) For the reasons included in the Public Offer document approved by the Securities and Exchange Commission and dated 25 February 2025, including without limitation, page 9, which he adopts, he doesn't accept the Board of Directors' opinion expressed in the Report, he disagrees with and is not bound by it; and
• (b) He bears no responsibility for the Board of Directors' opinion.

Mr. Varnavas Eirinarchos authorized the Company to proceed with this announcement.
