FILING OF THE BYLAWS AMENDED BY THE EXTRAORDINARY SHAREHOLDERS' MEETING OF 29 APRIL 2025

Fabriano, 22 May 2025 – It is hereby announced that, today, the bylaws amended by the Extraordinary Shareholders' MeeIng of 29 April 2025 and registered in the Marche Companies Register, have been filed and are available to anyone who requests them at the Company's registered office, at the storage mechanism at and can be consulted on the Company's website h;ps://corporate.elica.com/en/governance/corporate-documents.

The amendments involve the introducIon of the figure of the manager responsible for sustainability reporIng as a separate enIty from the manager responsible for preparing corporate accounIng documents in accordance with LegislaIve Decree no. 125/2024 for the implementaIon of EU DirecIve 2464/2022 (Corporate Sustainability ReporIng DirecIve, CSRD) into our legal system.
