7/2025 Recommendation of the Management Board ofAgora S.A. concerning covering the Company's net loss for 2024 and thepayment of dividend

Regulatory filing

The Management Board of Agora S.A. with itsregistered seat in Warsaw ("Agora", "Company"), hereby informs aboutadoption of the resolution on May 21, 2025, recommend to the GeneralMeeting of Shareholders:

(i)to cover the net loss for the fiscalyear 2024 in the amount of PLN 17,497,347.26 in full from the Company'ssupplementary capital and

(ii)the allocation of part of the Company'ssupplementary capital in the amount of PLN 11,645,207.75 for the paymentof dividend in the value of 0.25 PLN per one share entitled to thedividend.

The proposed dividend day is August 27, 2025, and theproposed distribution date - September 18, 2025.

The recommendation received a positive opinion fromthe Supervisory Board.

The final decision on covering the Company's loss for2024 and dividend distribution will be made by the General Meeting ofShareholders.
