DHH: Expected admission to Euronext Growth Milan of warrants denominated "Warrant DHH S.p.A. 2025-2028"

Milan, 21 May 2025. DHH S.p.A. (DHH.MI) (ISIN shares IT0005203622), following the press release published on May 19, 2025, hereby announces that the admission to trading on Euronext Growth Milan of 1.039.485 warrants denominated "Warrant DHH S.p.A. 2025-2028" ("Warrant") by Borsa Italiana S.p.A. is expected tomorrow – Thursday, May 22, 2025 – with the first day of trading scheduled for Monday, May 26, 2025.

It should be noted that on April 29, 2025, the extraordinary shareholders' meeting of DHH resolved, inter alia, to issue the Warrants and to increase the share capital against payment, in a divisible and progressive manner, for a maximum nominal amount of Euro 62.369,10, plus share premium, to service the above-mentioned Warrants, through the issue of a maximum of 623.691 shares to be reserved for subscription exclusively by the holders of the Warrants.

It should also be noted (i) that, for the purposes of subscribing for the Warrants, shareholders have been granted a subscription and pre-emption right (the "Right") in the ratio of one Right for each share held on May 6, 2025 (record date), (ii) that such Rights – if exercised during the period between May 7 and May 13, 2025 – entitled the holder to subscribe, against payment, 1 Warrant for every 5 Rights exercised, and (iii) that on May 19, 2025, DHH formally applied for admission to trading of the Warrants.

The Warrants (ISIN IT0005645541) will entitle the holder to subscribe, in accordance with the terms and conditions of the Warrant regulation, at any time during the period between June 1, 2027, and December 29, 2028 (unless extended as provided therein), for a total maximum of 623.691 DHH shares, with regular dividend rights and fully fungible with the current DHH shares in circulation, in accordance with the exercise ratio provided for in the regulation and at a unit price of Euro 3,10 each.
